11. Lanco Group: जब Expansion ही सबसे बड़ी समस्या बन गया
एक समय Infrastructure और Power Sector का बड़ा नाम, फिर Debt Crisis और Insolvency
भारत में 2000s के दौरान Infrastructure और Power sector में बहुत बड़ा growth opportunity दिखाई दे रहा था।
Electricity की demand बढ़ रही थी।
Roads बन रहे थे।
Power plants की जरूरत थी।
Government भी infrastructure development को बढ़ावा दे रही थी।
इसी दौर में Lanco Group ने बहुत तेजी से expansion किया।
Company ने:
Power generation
Infrastructure
EPC
Roads
Coal
Hydro Power
Solar
जैसे कई क्षेत्रों में projects विकसित किए।
कुछ समय के लिए Lanco भारत के तेजी से बढ़ते infrastructure groups में दिखाई देता था।
लेकिन फिर वही सवाल आया जो हमारी इस पूरी series का मुख्य सवाल है:
क्या company जितनी तेजी से expand कर रही थी, उतनी ही तेजी से उसका cash flow भी बढ़ रहा था?
उत्तर था — नहीं।
और यही Lanco की कहानी का सबसे महत्वपूर्ण हिस्सा है।
Lanco की शुरुआत
Lanco Group की शुरुआत 1960 में हुई थी।
बाद में group ने infrastructure और power sector में बड़े स्तर पर expansion किया।
2006 में Lanco Infratech Limited (LITL) को group की विभिन्न activities को एक बड़े corporate structure में consolidate करने के लिए इस्तेमाल किया गया।
Lanco Infratech धीरे-धीरे एक बड़े infrastructure holding/EPC company के रूप में विकसित हुई।
NCLT के 2017 के order में Lanco Infratech को essentially एक holding company बताया गया है, जिसके पास कई Special Purpose Vehicles यानी SPVs में investments थे।
उस समय Strategy क्या थी?
Strategy देखने में बहुत आकर्षक थी:
Infrastructure की Demand बढ़ेगी
↓
Power की Demand बढ़ेगी
↓
हम ज्यादा Projects बनाएँगे
↓
Banks से Debt लेंगे
↓
Projects पूरे होंगे
↓
Electricity / Infrastructure से Revenue आएगा
↓
Debt वापस कर देंगे
यह model infrastructure business में सामान्य है।
समस्या model में नहीं थी।
समस्या थी:
Scale और Speed
Lanco ने बहुत तेजी से Expansion किया
Lanco के पास केवल एक project नहीं था।
Group ने अलग-अलग SPVs के माध्यम से कई बड़े projects develop किए।
2017 के NCLT record में तीन बड़े 1,320 MW के coal-based power projects और दो hydro projects का उल्लेख है।
यानी company एक साथ बहुत बड़ी capital-intensive projects पर काम कर रही थी।
और यही infrastructure business की सबसे बड़ी चुनौती है:
Project शुरू करने में पैसा आज लगता है, लेकिन project से पूरा cash flow कई साल बाद आता है।
Infrastructure Business को समझिए
मान लीजिए आप:
₹10,000 करोड़ का Power Plant
बनाना चाहते हैं।
आपको पहले:
Land
Equipment
Construction
Machinery
Transmission
Interest during construction
पर पैसा लगाना पड़ेगा।
लेकिन plant पूरा होने के बाद ही:
Electricity generation → Revenue
शुरू होगा।
इसलिए:
Infrastructure Business = High Capital + Long Gestation
यानी:
बहुत पैसा पहले
और
Revenue बाद में।
Debt यहाँ क्यों जरूरी हो जाता है?
इतने बड़े project के लिए promoters के पास पूरा पैसा होना मुश्किल है।
इसलिए company:
Equity + Debt
का इस्तेमाल करती है।
उदाहरण:
Project Cost = ₹10,000 करोड़
Promoter Equity = ₹2,500 करोड़
Bank Debt = ₹7,500 करोड़
अब समस्या तब शुरू होती है जब:
Project delay हो जाए।
क्योंकि:
₹7,500 करोड़ का Interest चलता रहेगा।
लेकिन:
Electricity revenue शुरू नहीं होगा।
Lanco के साथ यही Risk आया
Lanco Group की कई companies और projects debt-funded थे।
लेकिन कई projects में:
delays
regulatory issues
fuel availability problems
financing difficulties
power sector stress
जैसी समस्याएँ आईं।
इससे expected cash flows कमजोर हुए।
IBBI की एक publication में Lanco Amarkantak Power के case को explain करते हुए बताया गया है कि parent Lanco Infratech के गिरने के बाद subsidiary को भी financial trouble हुआ। Lanco Amarkantak पर banks को लगभग ₹12,000 करोड़ की repayment obligations बताई गई थीं।
सबसे बड़ी समस्या: Power Sector का पूरा Ecosystem कमजोर हो गया
Lanco की समस्या केवल company-specific नहीं थी।
पूरे Indian power sector में उस समय कई structural problems थीं।
1. Coal availability
Power plant बन गया।
लेकिन पर्याप्त coal नहीं मिला।
तो:
Plant Capacity ≠ Actual Production
2. Power Purchase Agreements
Power plant तभी अच्छा business बनता है जब generated electricity के लिए reliable buyer और commercially viable tariff हो।
अगर:
Power price कम
या
Buyer financially weak
हो तो cash flow पर असर पड़ सकता है।
3. State DISCOMs की Financial Problems
कई State Electricity Distribution Companies यानी DISCOMs खुद financial stress में थीं।
अगर DISCOM समय पर payment न करे तो:
Power Generator का Receivable बढ़ता है।
और फिर:
Receivable ↑
↓
Cash Flow ↓
↓
Debt Repayment Pressure ↑
यह MBA Student के लिए बहुत महत्वपूर्ण Lesson है
किसी भी business को केवल अपने business model से analyse मत कीजिए।
उसका पूरा:
Ecosystem
देखिए।
Power company के लिए ecosystem है:
Coal
Railways
Power Plant
Transmission
DISCOM
Regulator
Consumer
अगर इनमें से एक बड़ा हिस्सा fail हो जाए तो पूरा business model प्रभावित हो सकता है।
Lanco का दूसरा बड़ा Problem: Too Many Projects
यह case हमारी PART 2 के लिए इसलिए चुना गया है क्योंकि इसका सबसे बड़ा lesson है:
Expansion बिना पर्याप्त financial cushion के खतरनाक हो सकता है।
अगर एक project में समस्या आए तो company उसे संभाल सकती है।
लेकिन अगर:
Project A delayed
Project B delayed
Project C delayed
Project D funding problem
हो जाए,
तो problems एक-दूसरे को बढ़ाने लगती हैं।
इसे आसान Example से समझिए
मान लीजिए एक businessman के पास:
₹100 करोड़
की equity है।
वह एक project में:
₹200 करोड़
लगाता है।
Debt:
₹100 करोड़
Business थोड़ा मुश्किल में आता है।
लेकिन वह संभाल सकता है।
अब वही businessman:
Project 1 = ₹200 करोड़
Project 2 = ₹300 करोड़
Project 3 = ₹500 करोड़
Project 4 = ₹700 करोड़
कर देता है।
अब उसकी total exposure बहुत बड़ी हो गई।
अगर सभी projects ठीक चलते हैं:
बहुत बड़ा Empire।
लेकिन अगर दो-तीन projects delay हो जाएँ:
Cash Flow Crisis।
यही “Expansion Risk” है
Expansion अपने आप में गलत नहीं है।
लेकिन expansion में तीन चीजें साथ बढ़नी चाहिए:
1. Capital
2. Management Capacity
3. Cash Flow
अगर केवल:
Debt + Projects
बढ़ते रहें,
लेकिन:
Cash Flow + Management Controls
उतने नहीं बढ़ें,
तो संकट पैदा हो सकता है।
Lanco Infratech की Financial Structure समझिए
Lanco Infratech कई project-level SPVs में holdings रखती थी।
NCLT के 2017 order के अनुसार company essentially एक holding company थी और उसकी EPC assets की value उसके SPV investments की तुलना में काफी कम थी। उसके consolidated revenue का बड़ा हिस्सा SPVs और उन्हीं SPVs से मिले contracts से आता था।
यह structure infrastructure industry में uncommon नहीं है।
लेकिन इसमें एक बड़ा risk होता है:
Complexity Risk
एक company के नीचे:
Company A
↓
Company B
↓
SPV C
↓
Project D
↓
Bank Loan E
जैसी structure बन सकती है।
अब अगर Project D fail होता है तो उसका असर ऊपर की companies पर भी पड़ सकता है।
SPV क्या होता है?
MBA student के लिए:
Special Purpose Vehicle
किसी specific project के लिए बनाई गई अलग company।
उदाहरण:
Lanco Group
↓
Lanco Power SPV
↓
एक specific Power Plant
इसका फायदा:
Project को अलग entity में रखा जा सकता है।
लेकिन समस्या:
अगर parent company और कई SPVs आपस में बहुत interconnected हों तो financial stress पूरे group में फैल सकता है।
Lanco का Debt Crisis कैसे बढ़ा?
एक समय तक:
Expansion
↓
Debt
↓
New Projects
↓
More Debt
का cycle चलता रहा।
लेकिन जब projects से expected returns समय पर नहीं आए तो debt repayment कठिन होने लगा।
पुराने debt को संभालने के लिए restructuring की कोशिशें भी हुईं।
लेकिन overall group stress कम नहीं हुआ।
IBBI की publication के अनुसार Lanco Amarkantak के लिए traditional methods जैसे Corporate Debt Restructuring के जरिए समस्या हल करने की कोशिशें सफल नहीं हुईं।
फिर Parent Company पर असर पड़ा
Lanco Infratech के खिलाफ insolvency proceedings 2017 में शुरू हुईं।
NCLT Hyderabad ने IDBI Bank की application पर 7 August 2017 को Lanco Infratech को insolvency process में admit किया। बाद में liquidation शुरू हुई।
यह हमारे project के लिए बहुत महत्वपूर्ण turning point है।
क्योंकि:
Group का Debt Problem अब Insolvency Problem बन चुका था।
Resolution क्यों सफल नहीं हो पाया?
Lanco case की एक बड़ी समस्या थी:
Group Structure बहुत Complex था।
Lanco Infratech के पास कई subsidiaries और SPVs में stakes थे।
लेकिन अगर वही subsidiaries खुद insolvency में चली जाएँ तो parent company की stake की value भी गिर सकती है।
एक simple example:
Parent Company के पास:
Company B में 70% stake
है।
Company B की value:
₹1,000 करोड़
है।
तो Parent के लिए stake की theoretical value:
₹700 करोड़
हो सकती है।
लेकिन अगर Company B खुद insolvency में चली जाए और उसकी recovery बहुत कम हो:
Parent की stake value भी:
बहुत कम
हो सकती है।
यानी:
Subsidiary Failure → Parent Value Destruction
Lanco Infratech के साथ यही बड़ी structural समस्या थी
Business Standard की analysis के अनुसार Lanco Infratech की resolution में एक बड़ी कठिनाई यह थी कि company खुद largely holding structure थी और उसके assets की तुलना में उसकी subsidiaries/SPVs में holdings ज्यादा महत्वपूर्ण थीं। कई subsidiaries भी insolvency में थीं।
इसका मतलब:
Parent को अकेले बचाना मुश्किल था क्योंकि problem पूरे group structure में फैल चुकी थी।
यह MBA Student के लिए बहुत बड़ा Lesson है
Group Structure जितना complex होगा, crisis management उतना कठिन हो सकता है।
अगर आपके पास:
10 companies
हैं तो management आसान नहीं।
अगर:
10 companies + 30 SPVs + cross-holdings + guarantees + inter-company loans
हैं,
तो crisis में यह पता लगाना भी कठिन हो सकता है कि:
असल asset कहाँ है?
Debt कहाँ है?
Guarantee किसने दी है?
Cash कहाँ जा रहा है?
Lanco का सबसे बड़ा Turning Point
जब company तेजी से expand कर रही थी, तब शायद सबसे बड़ा सवाल होना चाहिए था:
“अगर हमारे 2 बड़े projects समय पर शुरू नहीं हुए तो क्या पूरा group survive कर पाएगा?”
यानी management को:
Base Case
के साथ:
Worst Case
भी बनाना चाहिए था।
Worst Case Analysis कैसे होता है?
मान लीजिए:
Normal Case
Project 2020 में शुरू होगा।
Revenue = ₹5,000 करोड़
Profit = ₹1,000 करोड़
लेकिन Stress Case:
Project 2022 में शुरू होगा।
Revenue = ₹3,000 करोड़
Interest cost = ₹1,500 करोड़
अब क्या होगा?
अगर answer है:
“Debt repayment नहीं हो पाएगी”
तो project को redesign करना चाहिए।
Lanco में कहाँ गलती हुई?
अब इसे बिल्कुल सरल भाषा में समझिए।
गलती 1 — बहुत तेज Expansion
Company ने बहुत सारे capital-intensive projects एक साथ develop किए।
गलती 2 — Debt पर ज्यादा निर्भरता
Expansion का बड़ा हिस्सा borrowed money से finance हुआ।
गलती 3 — Project Delay Risk
Infrastructure projects में delay को पर्याप्त financial cushion के बिना संभालना कठिन होता है।
गलती 4 — Power Sector की Structural Problems को underestimate करना
Coal availability, DISCOM finances और tariffs जैसे external factors business को प्रभावित कर सकते हैं।
गलती 5 — Too Much Complexity
बहुत सारे SPVs और cross-holdings ने crisis resolution को कठिन बनाया।
गलती 6 — Cash Flow पर ज्यादा ध्यान जरूरी था
Project की future value अच्छी हो सकती है।
लेकिन:
Bank को repayment आज चाहिए।
एक बहुत महत्वपूर्ण Lesson
“Asset Rich” होना और “Cash Rich” होना अलग चीजें हैं।
किसी company के पास:
Power plants
Land
Roads
Machinery
Projects
हो सकते हैं।
लेकिन अगर:
Cash Flow नहीं है
तो company debt repayment में default कर सकती है।
इसलिए:
Assets ≠ Liquidity
Lanco से MBA Student क्या सीखे?
Lesson 1 — Growth का मतलब सिर्फ ज्यादा projects नहीं
Growth तभी अच्छी है जब:
Revenue + Cash Flow + Return on Capital
भी बढ़ें।
Lesson 2 — Debt की सीमा पहले तय करें
Management को पहले decide करना चाहिए:
“हम maximum कितना debt comfortably service कर सकते हैं?”
फिर expansion plan बनाना चाहिए।
Lesson 3 — Project Delay का Stress Test करें
हर large project के लिए:
1 year delay
2 year delay
20% cost overrun
जैसे scenarios पहले calculate करें।
Lesson 4 — Group Complexity कम रखें
जहाँ संभव हो:
Simple ownership
और
Transparent structure
रखना बेहतर है।
Lesson 5 — SPV Structure को समझकर इस्तेमाल करें
SPV useful है।
लेकिन बहुत ज्यादा interconnected SPVs crisis में complexity पैदा कर सकते हैं।
Lesson 6 — Cash Flow को Profit से ऊपर रखें
Infrastructure business में:
Profit on paper
से ज्यादा जरूरी:
Actual cash collection
है।
Lesson 7 — External Risk को ignore मत करें
आपका business अच्छा हो सकता है।
लेकिन:
Government policy
Regulation
Fuel supply
Interest rate
Customer payment
भी आपकी success तय करते हैं।
Lesson 8 — “और एक project” हमेशा solution नहीं है
अगर existing projects stressed हैं तो नया project शुरू करना समस्या बढ़ा सकता है।
Lesson 9 — Parent Company को subsidiaries की health पता होनी चाहिए
अगर subsidiary कमजोर है तो parent company की valuation भी प्रभावित हो सकती है।
Lesson 10 — Expansion से पहले Survival Capacity देखिए
सबसे महत्वपूर्ण सवाल:
“अगर growth हमारी उम्मीद के अनुसार नहीं हुई तो क्या हम survive करेंगे?”
अगर answer नहीं है तो expansion बहुत aggressive है।
आज का MBA Manager क्या करे?
अगर आज कोई infrastructure company:
₹20,000 करोड़
का expansion plan बना रही है तो management को पहले ये 8 सवाल पूछने चाहिए:
1.
Project cost कितना है?
2.
Equity कितनी है?
3.
Debt कितना है?
4.
Project completion में delay हुआ तो interest कितना बढ़ेगा?
5.
Revenue 30% कम हुआ तो क्या होगा?
6.
Raw material cost 20% बढ़ी तो?
7.
Customer payment 6 महीने late हुआ तो?
8.
क्या company बिना नया loan लिए 12–18 महीने survive कर सकती है?
अगर इन सवालों का जवाब नहीं है:
Expansion रोकना कमजोरी नहीं है।
कभी-कभी:
“पहले पुराने projects को मजबूत करो, फिर नया project शुरू करो”

“Expansion मत करो।”
बल्कि:
“Expansion उतना ही करो जितना आपका Balance Sheet, Management और Cash Flow संभाल सके।”
और MBA student के लिए सबसे आसान formula:
Growth + Debt + Delay = Danger
लेकिन:
Growth + Controlled Debt + Strong Cash Flow = Sustainable Growth
एक लाइन में Lanco
“Lanco की सबसे बड़ी समस्या सिर्फ कर्ज नहीं था; समस्या यह थी कि बहुत बड़े और लंबे समय वाले projects के लिए लिया गया debt उस speed से cash flow में convert नहीं हो पाया जिसकी company को जरूरत थी।”

Lanco Infratech की insolvency admission और liquidation से जुड़े facts के लिए NCLT/IBBI records का उपयोग किया गया है। NCLT Hyderabad ने 7 August 2017 को Lanco Infratech के खिलाफ insolvency proceedings शुरू की थीं; बाद में company liquidation में चली गई।
Lanco Group की subsidiaries और power projects के financial stress को समझने के लिए IBBI की publications और individual insolvency records का उपयोग किया गया है। Lanco Amarkantak Power Limited को 5 September 2019 को CIRP में admit किया गया था और उसके creditors के claims लगभग ₹12,000 करोड़ के आसपास बताए गए थे।
Lanco Amarkantak के resolution process में बाद में Adani Power की resolution plan को CoC ने 95.40% voting share से approve किया और NCLT Hyderabad ने 21 August 2024 को plan approve किया।
ध्यान दें: Lanco के failure को इस case study में मुख्यतः business model, expansion, debt, project execution और power-sector stress के perspective से समझाया गया है। किसी व्यक्ति पर criminal wrongdoing का आरोप बिना संबंधित final judicial finding के नहीं लगाया गया है।
12. Jaypee Group: जब Infrastructure Empire का Expansion कर्ज के बोझ में बदल गया
एक बड़ा Infrastructure Group, बड़े Projects और फिर Debt Crisis
भारत के infrastructure sector में Jaypee Group का नाम लंबे समय तक बड़े और महत्वाकांक्षी projects के लिए जाना जाता था।
Group ने कई क्षेत्रों में काम किया:
Engineering & Construction
Cement
Power
Roads
Real Estate
Expressways
Hydropower
Jaypee की खासियत थी कि उसने एक साथ कई बड़े infrastructure projects खड़े किए।
लेकिन infrastructure business की एक समस्या है:
Project जितना बड़ा, उसमें पैसा उतना ज्यादा और cash वापस आने में उतना ज्यादा समय।
Jaypee Group की कहानी इसी बात का बड़ा उदाहरण है।
शुरुआत कहाँ से हुई?
Jaypee Group की शुरुआत Jaiprakash Gaur ने की थी।
Group की शुरुआत engineering और construction से हुई और बाद में इसने infrastructure, cement और power जैसे क्षेत्रों में बड़े स्तर पर विस्तार किया।
धीरे-धीरे Jaypee Group भारत के बड़े infrastructure conglomerates में शामिल हो गया।
Jaypee की Expansion Strategy
Jaypee ने कई बड़े projects में प्रवेश किया।
उदाहरण के लिए:
Yamuna Expressway
Power Projects
Cement Plants
Hydropower Projects
Real Estate
इन projects का common feature था:
High Capital Requirement
और:
Long Gestation Period
यानी पैसा पहले लगाना पड़ता है और return बाद में मिलता है।
समस्या कहाँ शुरू हुई?
Jaypee Group की growth के पीछे एक बड़ा factor था:
Debt-funded Expansion
Company ने बड़े projects के लिए बड़ी मात्रा में borrowing की।
यह strategy तब तक काम कर सकती है जब:
Projects समय पर पूरे हों
Costs control में रहें
Revenue समय पर आए
Interest manageable रहे
लेकिन अगर कई projects में एक साथ problems आ जाएँ तो:
Debt burden तेजी से बढ़ सकता है।
आसान Example
मान लीजिए:
एक infrastructure company के पास:
₹10,000 करोड़ Equity
है।
वह:
₹30,000 करोड़ Debt
लेकर projects शुरू करती है।
Total investment:
₹40,000 करोड़
अब अगर projects सफल होते हैं:
Revenue बढ़ेगा।
Cash Flow आएगा।
Debt repay हो सकता है।
लेकिन अगर:
Project Delay
हो जाए तो:
Revenue देर से आएगा।
लेकिन:
Interest उसी समय से चलता रहेगा।
यही infrastructure debt का सबसे बड़ा risk है।
Jaypee के साथ कई समस्याएँ एक साथ आईं
Jaypee Group की financial stress को समझने के लिए केवल एक कारण देखना सही नहीं होगा।
कई factors एक साथ महत्वपूर्ण बने:
1. Large Debt
2. Large Capital Projects
3. Project Execution Risk
4. Interest Burden
5. Regulatory / Land Related Issues
6. Real Estate Slowdown
7. Cement और Infrastructure Cycle
इनका combination company के लिए कठिन साबित हुआ।
Yamuna Expressway: बड़ा Project, बड़ा Investment
Jaypee Group की सबसे चर्चित infrastructure projects में से एक था:
Yamuna Expressway
यह लगभग 165 km लंबा expressway है जो Greater Noida को Agra से जोड़ता है।
Project में बहुत बड़ा upfront investment था।
Expressway से toll revenue आने की उम्मीद थी।
लेकिन infrastructure project का business model केवल road बनाने से सफल नहीं होता।
आपको देखना पड़ता है:
Traffic कितना आएगा?
Toll collection कितना होगा?
Construction cost कितनी है?
Debt कितना है?
Interest कितना है?
यानी:
Road बन जाना ≠ Project financially successful होना
Real Estate में Entry ने Risk बढ़ाया
Jaypee Group ने real estate business में भी बड़े projects develop किए।
इस sector में भी:
Land Cost
Construction Cost
Interest
Customer Demand
एक साथ manage करने पड़ते हैं।
अगर sales slow हो जाएँ तो inventory और working capital का pressure बढ़ सकता है।
और अगर company पर debt पहले से हो तो situation और difficult हो सकती है।
Cement Business भी Capital Intensive था
Cement manufacturing में:
Land
Limestone
Plant
Machinery
Power
Logistics
पर बहुत capital लगता है।
Jaypee Group ने cement capacity भी तेजी से बढ़ाई।
लेकिन बाद में debt reduction के लिए कई cement assets बेचने पड़े।
Debt Reduction के लिए Assets बेचने पड़े
Jaypee Group ने financial pressure कम करने के लिए अपनी cement assets का बड़ा हिस्सा Aditya Birla Group की UltraTech Cement को बेचने का agreement किया।
2016 में UltraTech ने Jaypee Group के cement assets का acquisition agreement किया था।
यह transaction debt reduction strategy का बड़ा हिस्सा था।
यानी:
Assets बेचो
↓
Debt कम करो
↓
Balance Sheet मजबूत करो
यह strategy अक्सर stressed companies इस्तेमाल करती हैं।
लेकिन एक समस्या थी
अगर company अच्छे assets बेचती है तो:
Debt कम हो सकता है।
लेकिन:
Future earning capacity भी कम हो सकती है।
इसलिए asset sale का सही सवाल यह है:
“हम कौन सा asset बेच रहे हैं और उसके बदले debt कितना कम हो रहा है?”
Jaypee Infratech का मामला
Jaypee Group की financial crisis का सबसे महत्वपूर्ण हिस्सा था:
Jaypee Infratech Limited
यह company Yamuna Expressway और associated real estate projects से जुड़ी थी।
2017 में Jaypee Infratech को insolvency proceedings में भेजा गया।
IDBI Bank ने insolvency application दाखिल की थी।
NCLT Allahabad ने August 2017 में company को Corporate Insolvency Resolution Process में admit किया।
लेकिन Jaypee Infratech का case खास क्यों है?
क्योंकि यहाँ केवल banks ही creditor नहीं थे।
बहुत सारे:
Homebuyers
भी प्रभावित थे।
यह भारतीय insolvency system के लिए एक महत्वपूर्ण case बन गया।
Homebuyers ने कहा कि:
“हमने घर के लिए पैसा दिया है, हम केवल ordinary financial creditors नहीं हैं।”
बाद में IBC में homebuyers को financial creditors के रूप में recognise करने का महत्वपूर्ण बदलाव हुआ।
Homebuyers को Financial Creditors का दर्जा
2018 में IBC में amendment के बाद:
Allottees in real estate projects
को financial creditors के रूप में treat किया गया।
इससे homebuyers को:
Committee of Creditors में representation
Voting rights
Insolvency process में formal role
मिला।
Jaypee Infratech case इस पूरे development में बहुत महत्वपूर्ण रहा।
Jaypee Case में Legal Complexity
Jaypee Infratech का insolvency process बहुत लंबा और complicated रहा।
इसमें:
Banks
Homebuyers
Resolution applicants
Promoters
Courts
सभी involved रहे।
कई resolution attempts हुए।
कानूनी disputes हुए।
इसलिए यह case हमें एक और lesson देता है:
Debt Crisis सिर्फ financial problem नहीं होती।
यह:
Legal + Operational + Social + Governance
problem भी बन सकती है।
आखिर क्या हुआ?
Jaypee Infratech की resolution process में कई bidders आए।
आखिरकार Suraksha Asset Reconstruction की resolution plan को NCLT ने approve किया।
NCLT के 2024 order के अनुसार Suraksha group की resolution plan को Committee of Creditors ने approve किया था और NCLT ने 7 March 2024 को plan approve किया। (ibbi.gov.in)
इसका अर्थ:
Original promoter की company वापस उसी ownership में नहीं गई।
एक नया resolution applicant business को आगे ले जाने के लिए आया।
यह हमारे Project का सबसे महत्वपूर्ण Concept है
Jaypee की कहानी हमें फिर वही बात बताती है:
Company बच सकती है, लेकिन Original Promoter नहीं।
यह पूरी series में बार-बार दिखाई देगा।
कहाँ गलती हुई?
अब MBA student की भाषा में:
गलती 1 — बहुत तेजी से Expansion
एक साथ कई capital-intensive sectors में बड़े projects लिए गए।
गलती 2 — Debt का बड़ा इस्तेमाल
Expansion के लिए borrowing पर काफी निर्भरता रही।
गलती 3 — Long Gestation Projects
Projects से cash flow आने में समय लगता है।
लेकिन interest payment इंतजार नहीं करती।
गलती 4 — कई Businesses में Capital Lock करना
Cement + Power + Roads + Real Estate जैसे businesses में पैसा लंबे समय तक फंस सकता है।
गलती 5 — Stress आने के बाद Asset Sales
Debt कम करने के लिए अच्छे assets बेचने पड़े।
गलती 6 — Group Complexity
एक बड़े conglomerate में कई companies और SPVs होने से financial restructuring कठिन हो सकती है।
लेकिन क्या Jaypee की हर strategy गलत थी?
नहीं।
यह बहुत महत्वपूर्ण है।
Infrastructure development में बड़े projects के लिए debt का इस्तेमाल सामान्य है।
Problem यह नहीं थी कि:
“Debt लिया गया।”
Problem थी:
“क्या debt और project execution का risk उस स्तर तक बढ़ गया था जिसे company comfortably संभाल सके?”
यही analytical approach MBA student को अपनानी चाहिए।
MBA Student के लिए 10 Lessons
Lesson 1 — Expansion को cash flow से जोड़िए
Revenue बढ़ रहा है या नहीं से ज्यादा important:
Operating Cash Flow
है।
Lesson 2 — Debt Capacity पहले calculate करें
किसी project को शुरू करने से पहले पूछिए:
अगर revenue 30% कम हुआ तो क्या हम interest और principal चुका पाएँगे?
Lesson 3 — Multiple Big Projects एक साथ risky हो सकते हैं
अगर:
Project A delayed
और
Project B भी delayed
हो जाए,
तो दोनों का impact company पर एक साथ आता है।
Lesson 4 — Asset Sale हमेशा अच्छी खबर नहीं
Debt कम करने के लिए asset बेचना useful है।
लेकिन अगर profitable asset बिक गया तो future cash flow भी घट सकता है।

बहुत सारी unsold inventory का मतलब:

बल्कि:
“बड़ा business बनाने से पहले यह सुनिश्चित करें कि आपकी Balance Sheet उस growth को survive कर सकती है।”
एक businessman को केवल यह नहीं पूछना चाहिए:
“हम कितना बड़ा बन सकते हैं?”
उसे यह भी पूछना चाहिए:
“अगर चीजें हमारी उम्मीद के मुताबिक नहीं हुईं, तो हम कितना नुकसान सह सकते हैं?”
यही फर्क है:

के बीच।
आज के Manager के लिए Golden Rule
Expansion तभी करें जब:

चारों पर्याप्त हों।
अगर इनमें से कोई एक बहुत कमजोर है:
पहले Balance Sheet बचाइए, फिर Expansion कीजिए।

Jaypee Infratech के insolvency proceedings और बाद की resolution process के लिए IBBI/NCLT के official records का उपयोग किया गया है। NCLT ने 2017 में Jaypee Infratech को CIRP में admit किया था और बाद में resolution process कई legal stages से गुजरी।
Suraksha Asset Reconstruction की resolution plan को NCLT द्वारा 7 March 2024 को approve किए जाने की पुष्टि NCLT order के IBBI-hosted record से होती है।
Jaypee Group के cement assets के UltraTech Cement को transfer/sale और उससे जुड़े debt-reduction प्रयासों के लिए company और regulatory disclosures को आधार बनाया जाना चाहिए।
महत्वपूर्ण: इस case study में “failure” का अर्थ मुख्यतः business/financial distress और insolvency है। इसे किसी व्यक्ति द्वारा अपराध किए जाने का निष्कर्ष नहीं माना जाना चाहिए। Legal disputes और allegations को final judicial finding से अलग रखा गया है।
13. Future Group: जब “बहुत तेजी से बड़ा होना” ही सबसे बड़ी कमजोरी बन गया
Kishore Biyani ने Indian Retail को बदल दिया, लेकिन वही Expansion बाद में भारी पड़ गया
भारत में organised retail को आम लोगों तक पहुँचाने वाले प्रमुख businessmen में Kishore Biyani का नाम लिया जाता है।
उनका विचार बहुत सरल था:
भारतीय middle class के लिए ऐसा retail business बनाना जहाँ लोग एक ही जगह रोजमर्रा की जरूरतों से लेकर कपड़े और household products तक खरीद सकें।
इसी सोच से Future Group का विस्तार हुआ।
एक समय group के पास:
Big Bazaar
Food Bazaar
FBB
Central
Brand Factory
जैसे बड़े retail formats थे।
लेकिन फिर एक बड़ा सवाल सामने आया:
क्या Future Group जरूरत से ज्यादा तेजी से expand हो गया था?
शुरुआत कैसे हुई?
Kishore Biyani ने retail business की शुरुआत कपड़ों के व्यापार से की।
बाद में उन्होंने organised retail में बड़ा अवसर देखा।
1990s और 2000s में India में shopping धीरे-धीरे traditional दुकानों से modern retail stores की तरफ बढ़ रही थी।
Future Group ने इसी opportunity को पकड़ा।
फिर आया:
Big Bazaar
Big Bazaar ने Indian retail market में एक अलग model popular किया:
बड़ा store
एक ही जगह बहुत सारे products
discounts
middle-class focused pricing
यानी shopping को mass-market experience बनाना।
Future Group तेजी से बढ़ा
Group ने केवल एक retail chain पर निर्भर नहीं किया।
उसने अलग-अलग formats बनाए:

इससे एक बड़ा retail ecosystem बन गया।
Strategy देखने में बहुत मजबूत थी

यह एक classic retail expansion cycle है।
समस्या तब आती है जब:
Stores की growth sales और cash flow से तेज हो जाए।
Retail Business की एक महत्वपूर्ण सच्चाई
Retail में केवल sales देखना बहुत खतरनाक हो सकता है।
मान लीजिए:
एक store की annual sales:
₹100 करोड़
हैं।
सुनने में बहुत अच्छा लगता है।
लेकिन अगर:
Rent = ₹10 करोड़
Employee Cost = ₹8 करोड़
Logistics = ₹7 करोड़
Discounts = ₹5 करोड़
Other Costs = ₹6 करोड़
Interest = ₹8 करोड़
तो actual profit बहुत कम बच सकता है।
इसलिए:
High Revenue ≠ High Profit
और:
High Profit ≠ High Cash Flow
Future Group की सबसे बड़ी चुनौती: Scale
Future Group ने बहुत तेजी से stores खोले।
Retail business में store खोलने के लिए चाहिए:
Lease deposit
Interiors
Inventory
Employees
Warehouses
Supply chain
Marketing
यानी हर नया store:
Capital मांगता है।
अगर 10 stores हैं तो problem manageable हो सकती है।
लेकिन अगर:
1,000+ stores
हो जाएँ तो:
Rent + Inventory + Employees + Supply Chain
का fixed/recurring burden बहुत बड़ा हो जाता है।
Lease का महत्व समझिए
Retail companies अक्सर अपनी दुकानें खरीदती नहीं हैं।
वे:
Lease
पर property लेती हैं।
इसका फायदा:
आपको शुरुआत में पूरी property खरीदने का पैसा नहीं लगाना पड़ता।
लेकिन disadvantage:
हर महीने:
Rent देना पड़ता है।
अगर sales गिर जाएँ:
Rent फिर भी देना है।
यानी:
Sales Variable हैं, लेकिन कई Costs Fixed हैं।
यही COVID के समय बहुत बड़ी समस्या बनी
2020 में COVID-19 pandemic आया।
भारत में lockdown लगा।
Retail stores लंबे समय तक बंद या severely restricted रहे।
Future Group के लिए यह बहुत बड़ा shock था।
क्योंकि:
Store बंद

Sales गिर गई
लेकिन:
Rent + Employee Cost + Debt Obligations
पूरी तरह गायब नहीं हुए।
यानी cash inflow अचानक कम हो गया जबकि कई cash outflows बने रहे।
यही “Liquidity Crisis” है
इसे आसान भाषा में समझिए।
अगर:
हर महीने आने वाला Cash:
₹100 करोड़
है।
और जाने वाला Cash:
₹80 करोड़
है।
तो company के पास:
₹20 करोड़ surplus
है।
लेकिन अचानक lockdown में:
Cash Inflow:
₹20 करोड़
रह गया।
लेकिन Cash Outflow:
₹80 करोड़
है।
अब:
₹60 करोड़ monthly cash deficit
है।
अगर company के पास पर्याप्त cash reserve नहीं है तो:
Liquidity Crisis
शुरू हो सकती है।
Future Group पहले से ही Pressure में था
यह समझना बहुत जरूरी है:
COVID अकेला कारण नहीं था।
Future Group पहले से ही financial pressure में था।
Group ने बहुत तेजी से expansion किया था।
इस expansion के लिए:
Debt
और
other financing arrangements
का इस्तेमाल हुआ।
इसलिए pandemic ने पहले से मौजूद weaknesses को बहुत तेज कर दिया।
Debt का बोझ
Future Group की कई listed companies के financial statements में debt और financial obligations का pressure दिखाई देता था।
Future Retail की financial position विशेष रूप से कमजोर हुई।
Company के lenders ने default और insolvency proceedings की दिशा में कदम उठाए।
आखिरकार:
Future Retail insolvency process में चली गई।
यह अगली case study में हम अलग से detail में देखेंगे।
इसलिए यहाँ हमें एक distinction रखना चाहिए:
Future Group
एक पूरा business ecosystem था।
जबकि:
Future Retail
उस group की एक महत्वपूर्ण listed retail company थी।
दोनों को एक ही चीज मानना सही नहीं होगा।
सबसे बड़ा Turning Point: Reliance Deal
2020 में Future Group ने अपनी retail, wholesale, logistics और related businesses को Reliance Industries group को बेचने का agreement किया।
Deal का announced value लगभग:
₹24,713 करोड़
बताया गया था।
यह deal Future Group के लिए एक rescue strategy की तरह देखी गई।
Logic था:
Assets बेचो
↓
Debt कम करो
↓
Business को नए owner के under बचाओ
लेकिन यहाँ एक बड़ा legal dispute सामने आया।
Amazon ने Objection क्यों किया?
Future Group और Amazon के बीच पहले से investment agreement था।
Amazon ने Reliance transaction पर objection किया और arbitration तथा Indian courts में legal proceedings शुरू हुईं।
इसके बाद:
Amazon vs Future Group
का एक बड़ा legal battle शुरू हुआ।
यह dispute कई वर्षों तक चला।
इससे क्या हुआ?
Reliance transaction तुरंत पूरा नहीं हो पाया।
Future Group को जिस deal से liquidity और debt relief की उम्मीद थी, वह uncertainty में चली गई।
इस दौरान business की financial condition और खराब होती गई।
और यही distressed business में एक महत्वपूर्ण lesson है:
Rescue Deal समय पर पूरी होना भी जरूरी है।
अगर company के पास केवल कुछ महीनों की liquidity है लेकिन rescue transaction को legal process में साल लग जाएँ, तो company के पास survive करने के लिए पर्याप्त cash नहीं रह सकता।
आखिर Future Retail का क्या हुआ?
Future Retail के lenders ने insolvency proceedings शुरू कीं।
NCLT Mumbai ने July 2022 में Future Retail को liquidation में भेजने का आदेश दिया, क्योंकि resolution process में viable resolution plan सफल नहीं हो पाया था।
इसका अर्थ:
Future Retail का original business structure बच नहीं पाया।
और Future Group का retail empire बिखर गया।
लेकिन यहाँ एक जरूरी बात
यह कहना गलत होगा कि:
“Kishore Biyani ने retail business बनाना ही गलत किया।”
नहीं।
उन्होंने Indian retail में एक बड़ा बदलाव किया।
असल lesson है:
Good Business Idea + Aggressive Expansion + High Fixed Costs + Debt = High Financial Risk
Future Group कहाँ गलती कर बैठा?
अब इसे MBA student की भाषा में समझिए।
गलती 1 — Expansion बहुत तेज था
Stores और formats तेजी से बढ़ाए गए।
Growth अच्छी थी लेकिन financial capacity के मुकाबले expansion बहुत aggressive हो गया।
गलती 2 — Fixed Cost बहुत बड़ा हो गया
Retail stores में:
Rent
Employees
Warehouses
Logistics
जैसे खर्च लगातार चलते रहते हैं।
Sales गिरने पर भी सभी खर्च तुरंत नहीं रुकते।
गलती 3 — Working Capital Pressure
Retail business में inventory खरीदने के लिए पैसा पहले लगाना पड़ता है।
फिर product बिकता है।
फिर cash वापस आता है।
अगर inventory slow-moving हो जाए तो cash stock में फंस सकता है।
गलती 4 — Debt और Expansion साथ-साथ बढ़े
Expansion के लिए borrowing बढ़ी।
अगर growth धीमी हो जाए तो debt service करना कठिन हो जाता है।
गलती 5 — Business Complexity
Group के अंदर कई:
Companies
Brands
Retail formats
Warehouses
Suppliers
Leases
थे।
Complexity बढ़ने से restructuring भी कठिन होती है।
गलती 6 — Liquidity Buffer पर्याप्त नहीं था
COVID जैसे shock के सामने पर्याप्त cash reserve बहुत महत्वपूर्ण होता है।
Future Group की पहले से stressed financial position ने pandemic shock को और गंभीर बना दिया।
लेकिन COVID को पूरी गलती मत मानिए
यह सबसे महत्वपूर्ण analytical point है।
अगर कोई student लिखे:
“Future Group COVID के कारण fail हुआ।”
तो analysis अधूरा है।
सही approach:
Pre-existing financial stress
High fixed-cost retail model
Debt burden
COVID lockdown
Reliance transaction का legal dispute

यानी COVID:
Trigger / Accelerator
था।
लेकिन पूरी कहानी का एकमात्र कारण नहीं।
MBA Student के लिए Working Capital Lesson
Retail में:
Inventory = Cash का दूसरा रूप
मान लीजिए company के पास:
₹1,000 करोड़ की inventory
है।
अगर वह तेजी से बिकती है:
Inventory → Sales → Cash
हो जाती है।
लेकिन अगर inventory slow-moving है:
Cash → Inventory
और cash वापस आने में बहुत समय लग सकता है।
इसे कहते हैं:
Working Capital Blockage
एक आसान Example
आपने:
₹10 करोड़
का stock खरीदा।
लेकिन केवल:
₹4 करोड़
का stock बिका।
अब:
₹6 करोड़
inventory में फंसा है।
अगर इसी समय:
Bank repayment

इसलिए retail manager को केवल sales नहीं देखनी चाहिए।

अगर ratio high है:
Stock जल्दी move हो रहा है।
अगर ratio low है:
Stock लंबे समय तक पड़ा रह सकता है।
Retail business में:
Slow Inventory = Blocked Cash
Future Group का एक और Lesson: Scale का भ्रम
जब company के पास:
1,000 stores
होते हैं,
तो देखकर लगता है:
“Company बहुत मजबूत है।”
लेकिन MBA student को पूछना चाहिए:
प्रति store profit कितना है?
प्रति store cash flow कितना है?
Rent-to-sales ratio कितना है?
Inventory turnover कितना है?
Same-store sales growth कितनी है?
यही वास्तविक analysis है।
“Same Store Sales” क्या है?
Retail में यह बहुत महत्वपूर्ण metric है।
मान लीजिए पिछले साल एक existing store ने:
₹10 करोड़
बेचा।
इस साल उसी store ने:
₹8 करोड़
बेचा।
तो sales:
20% कम
हो गई।
भले ही company ने 100 नए stores खोल दिए हों, पुराने stores की performance कमजोर हो सकती है।
इसलिए:
Total Sales देखकर भ्रमित मत होइए।
Future Group का सबसे बड़ा MBA Lesson
Growth की Quality देखिए, केवल Growth की Speed नहीं।
अगर company:
20% yearly grow
कर रही है,
लेकिन debt:
40% yearly grow
कर रहा है,
तो यह healthy growth नहीं हो सकती।

13. Future Retail: जब Big Bazaar का Scale Debt और Cash-Flow Crisis के सामने टिक नहीं पाया
कभी भारत के सबसे बड़े Retail Networks में से एक, फिर Insolvency और Liquidation
अगर Indian retail की कहानी लिखी जाए तो Big Bazaar को नजरअंदाज करना मुश्किल है।
एक समय Big Bazaar इतना popular था कि shopping mall और hypermarket culture को भारत के बड़े शहरों से लेकर छोटे शहरों तक पहुँचाने में उसकी बड़ी भूमिका रही।
इसके पीछे थी:
Future Retail Limited (FRL)
और इसके पीछे प्रमुख businessman थे:
Kishore Biyani
लेकिन जिस company ने:
“हर भारतीय के लिए modern retail”
का सपना देखा, वही company बाद में भारी debt, liquidity problems और legal disputes के बीच insolvency और liquidation तक पहुँच गई।
यह case हमारी series में इसलिए महत्वपूर्ण है क्योंकि:
Future Group और Future Retail को एक ही चीज समझना गलत होगा।
Future Group एक बड़ा business group था।
Future Retail उसकी प्रमुख listed companies में से एक थी।
Future Retail क्या करती थी?
Future Retail का सबसे प्रसिद्ध retail brand था:

इसके अलावा company के पास अलग-अलग retail formats और brands भी थे।

Revenue और Cash Flow अलग हैं

इसलिए pandemic एक बड़ा shock बना।
COVID ने Retail Business को कैसे प्रभावित किया?
2020 में nationwide lockdown के कारण कई retail stores बंद रहे।
अब imagine कीजिए:

Company को liquidity और debt pressure से निकलने के लिए restructuring / asset monetisation जैसे options चाहिए थे।
इसी बीच एक बहुत बड़ी transaction सामने आई।
Reliance Deal
2020 में Future Group ने अपने retail, wholesale, logistics और related businesses को Reliance Industries group के साथ transaction के माध्यम से transfer करने का agreement किया।
Deal का announced consideration लगभग:
₹24,713 करोड़
था।
Future Group के लिए यह एक potential rescue था।

लेकिन transaction पर legal dispute शुरू हो गया।
Amazon कहाँ आया?

एक बड़ा legal battle बन गया।
यह dispute arbitration और Indian courts तक पहुँचा।
Supreme Court का महत्वपूर्ण फैसला
2021 में Supreme Court ने Singapore Emergency Arbitrator के award को Indian law के तहत enforceable माना।
इसका Future-Reliance transaction पर महत्वपूर्ण असर पड़ा।
यानी:
Proposed Rescue Transaction कानूनी बाधाओं में फंस गई।
यहाँ MBA Student को क्या सीखना चाहिए?
किसी company के financial model में केवल:
“Deal होने वाली है”
लिखना पर्याप्त नहीं।

Required approvals मिलेंगे?
Existing contracts क्या कहते हैं?
Litigation risk कितना है?
Deal complete होने में कितना समय लगेगा?
क्योंकि:

Future Retail की स्थिति और खराब होती गई
जब proposed transaction आगे नहीं बढ़ सकी, Future Retail के financial pressure को संभालना और कठिन हो गया।
Lenders ने company के defaults और financial obligations के कारण insolvency process की दिशा में कदम उठाए।
Insolvency
Future Retail के खिलाफ insolvency proceedings शुरू हुईं।
NCLT Mumbai ने:

में Future Retail को insolvency process में भेजा।
इसके बाद resolution process के दौरान viable resolution plan नहीं निकल पाया।
फिर Liquidation
जब viable resolution plan नहीं मिला तो NCLT Mumbai ने:
July 2022
में Future Retail को liquidation में भेज दिया।
इसका अर्थ:
Original company structure को बचाने की कोशिश सफल नहीं हुई।
और यही इस case का सबसे बड़ा turning point है।
इसका मतलब क्या है?

एक समय भारत की Wind Energy Revolution का चेहरा, फिर Debt Crisis
भारत में renewable energy की कहानी में Suzlon Energy का नाम बहुत महत्वपूर्ण है।
एक समय Suzlon केवल भारत की company नहीं थी—यह दुनिया की बड़ी wind-turbine manufacturers में गिनी जाती थी।
Founder Tulsi Tanti ने textile business से शुरुआत की और बाद में wind energy में opportunity देखी।
उन्होंने एक ऐसी company बनाई जो:
Wind turbines बनाती थी
Wind farms develop करती थी
Renewable-energy projects से जुड़ी services देती थी
Suzlon का growth phase बहुत तेज था।
लेकिन यही कहानी आगे चलकर एक बड़ा MBA lesson बन गई:
कभी-कभी जिस speed से business बढ़ता है, वही speed बाद में उसकी financial weakness बन सकती है।

अगर orders कम हो जाएँ तो:

Suzlon में Debt Restructuring क्यों हुई?
Financial pressure बढ़ने के बाद Suzlon को अपने debt को restructure करना पड़ा।
Company ने lenders के साथ कई बार restructuring arrangements किए।
इससे एक महत्वपूर्ण lesson मिलता है:
Debt restructuring solution हो सकती है, लेकिन वह business model की weakness को हमेशा खत्म नहीं करती।
अगर company लगातार:

ABG Shipyard के मामले में reported lender claims और eventual recovery/loss को एक ही संख्या मानना उचित नहीं है। Insolvency में claim, admitted claim, recovery और loss अलग-अलग concepts हैं।
इस case study का उद्देश्य business strategy, capital allocation, debt management, working capital और insolvency risk को समझाना है। किसी individual के बारे में criminal guilt का निष्कर्ष केवल company failure या insolvency के आधार पर नहीं निकाला गया है।
GMR Group Case Study
जब Expansion ही सबसे बड़ी समस्या बन गया
Introduction
एक समय GMR Group को भारत के सबसे महत्वाकांक्षी infrastructure groups में गिना जाता था।
Airports, highways, power plants और international projects—GMR तेजी से अलग-अलग infrastructure businesses में फैल रहा था।
लेकिन infrastructure business की एक खास समस्या होती है:
Project बड़ा होता है, investment पहले करना पड़ता है और cash flow बहुत बाद में आता है।
GMR ने growth के इसी model पर बड़े पैमाने पर expansion किया। जब economy और project assumptions उसके पक्ष में रहे, तो यह strategy शानदार दिखाई दी। लेकिन जब delays, regulatory changes, currency movements और कमजोर economic conditions सामने आईं, तो भारी debt का दबाव बढ़ गया।
यही GMR की कहानी का सबसे बड़ा business lesson है:
Expansion अपने आप में समस्या नहीं है। समस्या तब बनती है जब expansion की speed cash flow की क्षमता से ज्यादा तेज हो जाए।
1. एक छोटे Jute Mill से शुरुआत
GMR की शुरुआत 1978 में G.M. Rao द्वारा Andhra Pradesh के Rajam में एक jute mill से हुई।
इसके बाद group ने अलग-अलग businesses में प्रवेश किया और धीरे-धीरे infrastructure की ओर बढ़ा।
1996 में GMR ने power sector में entry की और इसके बाद highways तथा airports में विस्तार किया।
यह transition महत्वपूर्ण था।
GMR अब केवल एक traditional business group नहीं था।
वह ऐसे infrastructure projects में प्रवेश कर रहा था जिनमें:
बहुत बड़ी capital investment चाहिए थी
लंबे समय तक पैसा फंसा रहता था
project completion में कई साल लग सकते थे
regulatory approvals जरूरी होते थे
और revenue आने में समय लगता था
2. Airports ने GMR को नई पहचान दी
2003 में GMR ने Hyderabad International Airport project हासिल किया।
इसके बाद 2006 में Delhi International Airport के modernization project में GMR सफल bidder बना।
Delhi और Hyderabad airports ने GMR को भारत के infrastructure sector में एक बड़ी पहचान दिलाई।
लेकिन यही airport business आगे चलकर group की financial challenges का एक महत्वपूर्ण हिस्सा भी बना।
क्यों?
क्योंकि airport बनाना केवल construction project नहीं होता।
पहले:
Investment
फिर:
Construction
फिर:
Operations
और उसके बाद धीरे-धीरे:
Cash Flow
इसका मतलब था कि बहुत बड़ी रकम पहले लगानी पड़ती थी।
3. फिर आया तेज Expansion
2006 से 2010 के आसपास infrastructure sector में optimism काफी ज्यादा था।
GMR ने airports के साथ-साथ:
highways
power
international airport projects
energy assets
अन्य infrastructure projects
में भी expansion किया।
Business Standard के अनुसार, इसी expansion phase में GMR का gross debt बहुत तेजी से बढ़ा और 2014-15 में लगभग ₹42,410 करोड़ के peak तक पहुंच गया। एक अन्य contemporaneous report में debt लगभग ₹47,738 करोड़ तक बताया गया था, अलग reporting periods और debt definitions के कारण आंकड़ों में अंतर था।
यहीं से कहानी बदलने लगी।
4. असली समस्या Expansion नहीं, Debt था
GMR के projects अपने आप में necessarily खराब projects नहीं थे।
समस्या यह थी कि कई बड़े projects को finance करने के लिए भारी borrowing की गई थी।
Infrastructure business में अगर project समय पर पूरा हो और expected traffic/revenue मिले तो debt manageable हो सकता है।
लेकिन अगर:
Project delay + higher cost + lower revenue + regulatory uncertainty
एक साथ आ जाएं, तो debt का interest लगातार चलता रहता है।
यही GMR के सामने चुनौती बनी।
एक 2012 business case study ने भी GMR के airport business में बढ़ते debt, project delays, changing regulations, depreciating currency और बदलती economic conditions को प्रमुख challenges बताया।
5. Delhi Airport में Regulatory Challenge
Delhi Airport project में GMR को एक और बड़ी चुनौती का सामना करना पड़ा।
Airport infrastructure में revenue assumptions केवल company के control में नहीं होते।
Regulator की policies और airport charges की व्यवस्था business economics को बदल सकती है।
2011 की Forbes India reporting के अनुसार, Delhi airport project की cost बढ़कर लगभग ₹12,857 करोड़ हो गई थी और funding gap भी सामने आया था। साथ ही regulatory framework में बदलाव से expected returns पर दबाव पड़ने की चिंता थी।
यानी GMR के लिए समस्या सिर्फ यह नहीं थी कि:
“हमने कितना पैसा लगाया?”
सवाल यह भी था:
“हम उस investment से पैसा कितनी जल्दी और किस regulatory framework में वापस कमा पाएंगे?”
6. Maldives Airport विवाद
GMR के international expansion में Maldives का Malé International Airport भी एक महत्वपूर्ण chapter था।
GMR consortium को airport का modernization और operation project मिला था।
लेकिन project विवाद में फंस गया और 2012 में Maldives सरकार ने concession समाप्त कर दिया।
इसके बाद GMR को arbitration process से गुजरना पड़ा।
2016 में arbitration award के तहत GMR को लगभग $270 million compensation मिला।
यह case एक महत्वपूर्ण lesson देता है:
International expansion में business risk के साथ political और regulatory risk भी जुड़ा होता है।
7. Debt ने Group पर दबाव बढ़ाया
जब projects से expected cash flow समय पर नहीं आया और expansion जारी रहा, तो debt servicing एक बड़ा challenge बन गया।
2014-15 तक GMR का gross debt बहुत ऊंचे स्तर पर पहुंच गया था।
Business Standard की analysis के अनुसार, debt का बड़ा हिस्सा airport, corporate, highway और energy businesses से जुड़ा था।
अब management के सामने सवाल था:
Growth जारी रखें या पहले Balance Sheet ठीक करें?
GMR को दूसरा रास्ता चुनना पड़ा।
8. “Asset Light, Asset Right” Strategy
2012 के बाद GMR ने अपनी strategy में महत्वपूर्ण बदलाव किया।
अब focus था:
हर possible project खरीदना नहीं, बल्कि assets को monetize करके debt कम करना।
इस approach को GMR ने “asset light, asset right” strategy के रूप में आगे बढ़ाया।
Business Standard के अनुसार, इस strategy के तहत group ने assets बेचकर बड़ी मात्रा में capital जुटाई और debt कम किया। 2017 तक gross debt में लगभग 48% और net debt में आधे से अधिक की कमी बताई गई।
यानी company ने expansion की speed कम करके:
Cash Flow + Debt Reduction
पर ज्यादा ध्यान देना शुरू किया।
9. कुछ Assets बेचने पड़े
Debt reduction के लिए GMR ने कई assets में हिस्सेदारी बेची।
इसमें international airport और energy assets भी शामिल थे।
उदाहरण के लिए, GMR ने Istanbul Sabiha Gökçen airport में अपनी हिस्सेदारी का एक हिस्सा 2013 में बेच दिया।
इसके अलावा power और coal-related assets में भी divestments किए गए।
यह एक महत्वपूर्ण business decision था।
कई entrepreneurs के लिए asset बेचने का मतलब होता है:
“हम हार गए।”
लेकिन corporate finance में हमेशा ऐसा नहीं होता।
कभी-कभी asset बेचकर debt कम करना ही company को बचाने का रास्ता होता है।
10. Debt Restructuring भी करनी पड़ी
कुछ stressed power assets के मामले में lenders के साथ restructuring की गई।
Business Standard के अनुसार, Chhattisgarh और Rajahmundry power projects में Strategic Debt Restructuring के तहत lenders ने debt को equity में convert किया और significant ownership हासिल की।
यह दिखाता है कि जब debt बहुत ज्यादा हो जाए तो:
Promoter ownership बचाना हमेशा सबसे बड़ा लक्ष्य नहीं रह सकता।
पहला लक्ष्य हो सकता है:
Business को financially viable बनाना।
11. क्या GMR पूरी तरह Fail हो गया?
नहीं।
यही इस case को interesting बनाता है।
GMR की कहानी को “एक failed company” कहना oversimplification होगा।
असल कहानी है:
Rapid Expansion → Heavy Debt → Financial Stress → Asset Monetisation → Restructuring → Focus on Cash Flow
और बाद के वर्षों में GMR ने airports business पर ज्यादा focus किया।
आज भी GMR Airports एक बड़ा airport infrastructure platform है। GMR की official history के अनुसार, 2022 में group Asia का largest private airport operator बना और 2024 में Delhi airport ने 150 international destinations का milestone हासिल किया।
12. सबसे बड़ा Irony
GMR की सबसे बड़ी समस्या यह नहीं थी कि उसने growth की।
उसकी समस्या यह थी कि:
Growth के लिए capital की जरूरत बहुत तेजी से बढ़ गई।
Infrastructure में एक project दूसरे project को जन्म देता है।
एक airport मिलने के बाद दूसरा airport।
फिर highway।
फिर power plant।
फिर international project।
फिर दूसरा infrastructure project।
अगर हर project के लिए debt लिया जाए, तो balance sheet तेजी से expand हो सकती है।
लेकिन cash flow उसी speed से नहीं बढ़ता।
यही mismatch खतरनाक बन सकता है।
13. MBA Students के लिए सबसे बड़ा Lesson
GMR case को इस formula से समझा जा सकता है:
Expansion ≠ Success
Expansion तभी sustainable है जब:
Revenue Growth ≥ Debt & Cost Growth
अगर:
Debt Growth > Cash Flow Growth
तो company का size बढ़ते हुए भी financial stress बढ़ सकता है।
इसलिए किसी company को केवल देखकर यह नहीं कहना चाहिए:
“Company बहुत तेजी से expand कर रही है, इसलिए company बहुत successful है।”
सही सवाल हैं:
Expansion किस पैसे से हो रहा है?
Debt कितना बढ़ रहा है?
Project कब cash flow देगा?
Interest cost कितनी है?
Regulatory risk कितना है?
अगर project 2–3 साल late हो गया तो क्या होगा?
क्या company assets बेचकर survive कर सकती है?
14. GMR से मिलने वाले 7 Business Lessons
Lesson 1 — हर Growth अच्छी Growth नहीं होती
Revenue और assets बढ़ना अच्छा है, लेकिन अगर debt उससे ज्यादा तेजी से बढ़ रहा है तो growth खतरा बन सकती है।
Lesson 2 — Infrastructure में patience जरूरी है
Large projects में पैसा पहले लगता है और return बाद में आता है।
Lesson 3 — Debt को ignore नहीं किया जा सकता
Profit आने की उम्मीद future में हो सकती है, लेकिन interest payment आज करनी पड़ती है।
Lesson 4 — Regulatory Risk भी Business Risk है
Airport जैसे sectors में government और regulators business economics को प्रभावित कर सकते हैं।
Lesson 5 — International Expansion में Political Risk भी होता है
Maldives episode ने दिखाया कि overseas infrastructure projects केवल financial calculations से नहीं चलते।
Lesson 6 — Asset Sale हमेशा Failure नहीं है
कभी-कभी non-core assets बेचकर debt कम करना company को मजबूत बनाने का रास्ता होता है।
Lesson 7 — Founder को समय पर Strategy बदलनी चाहिए
GMR ने expansion-focused approach से asset monetisation और cash-flow-focused strategy की ओर shift किया।
Final Takeaway
GMR की कहानी को केवल:
“एक company ने बहुत ज्यादा debt लिया और मुश्किल में फंस गई”
के रूप में देखना अधूरा होगा।
असल lesson ज्यादा गहरा है।
GMR ने भारत के infrastructure transformation में बड़े projects बनाए और airport sector में महत्वपूर्ण position हासिल की।
लेकिन इसी ambition के साथ balance sheet पर भारी financial pressure भी आया।
फिर company ने:
Assets बेचे → Debt घटाया → Restructuring की → Cash Flow पर focus किया → Airports पर ज्यादा ध्यान दिया।
इसलिए GMR की case study का सबसे महत्वपूर्ण सवाल है:
“क्या बड़ा बनना और financially मजबूत बनना एक ही बात है?”
GMR का अनुभव बताता है:
नहीं।
एक company बहुत तेजी से बड़ी हो सकती है—लेकिन अगर उसके cash flows उस growth को support नहीं करते, तो वही expansion उसकी सबसे बड़ी कमजोरी बन सकता है।
Case Study Conclusion
GMR की कहानी Failure से ज्यादा Financial Discipline की कहानी है।
यह हमें सिखाती है कि:
“Business को बड़ा बनाना आसान हो सकता है; उसे financially sustainable बनाना असली चुनौती है।”
