21. Satyam Computer Services:
एक बड़ी IT Company, जिसने Corporate Governance का सबसे बड़ा सबक दिया
एक समय Satyam Computer Services भारत की प्रमुख IT companies में गिनी जाती थी।
Company के पास:
बड़े international clients
हजारों employees
मजबूत IT services business
global presence
stock-market reputation
सब कुछ था।
लेकिन जनवरी 2009 में company के founder B. Ramalinga Raju ने एक shocking disclosure किया।
उन्होंने स्वीकार किया कि company के accounts में financial figures को लंबे समय से बढ़ा-चढ़ाकर दिखाया गया था।
यहीं से भारत के सबसे चर्चित corporate scandals में से एक सामने आया।
पहले Satyam को समझिए
Satyam एक IT services company थी।
यह clients को:
Software development
IT consulting
Outsourcing
Business services
जैसी services देती थी।
IT business की खासियत यह है कि इसमें factories और भारी machinery की जरूरत manufacturing companies की तुलना में कम होती है।
इसलिए बाहर से Satyam का business model काफी attractive दिखाई देता था।
फिर समस्या क्या थी?
समस्या business idea में नहीं थी।
समस्या थी:
Financial Reporting और Corporate Governance
Company के financial statements में:
Revenue
Profits
Cash and bank balances
Receivables
आदि को वास्तविक स्थिति से अलग दिखाया गया।
इससे company बाहर से वास्तविकता से ज्यादा मजबूत दिखाई देती रही।
Financial Statements क्यों महत्वपूर्ण हैं?
किसी company के बारे में investor आम तौर पर इन चीजों को देखता है:
Revenue
कंपनी कितना business कर रही है?
Profit
कंपनी कितना कमा रही है?
Cash
कंपनी के पास कितना वास्तविक पैसा है?
Debt
कंपनी पर कितना कर्ज है?
Receivables
Customer से कितना पैसा लेना बाकी है?
इन numbers के आधार पर investor तय करता है:
Share खरीदना है या नहीं?
Bank तय करता है:
Loan देना है या नहीं?
Employee तय करता है:
Company में career बनाना सुरक्षित है या नहीं?
इसलिए:
गलत financial information केवल accounting problem नहीं है।
यह पूरे market के decision-making system को प्रभावित कर सकती है।
Satyam में क्या हुआ?
जनवरी 2009 में Ramalinga Raju ने Board को एक letter लिखा जिसमें company के accounts में manipulation स्वीकार किया गया।
उनके disclosure के अनुसार company के reported assets और cash position को वास्तविक स्थिति से बहुत अधिक दिखाया गया था।
इस disclosure के बाद:
Satyam की credibility लगभग तुरंत टूट गई।
सबसे बड़ा सवाल
अगर company के पास वास्तव में उतना cash नहीं था जितना accounts में दिखाया गया था, तो:
इतने वर्षों तक auditors ने क्या देखा?
Board ने क्या देखा?
Independent directors ने क्या देखा?
Investors ने क्या देखा?
यही सवाल corporate governance के केंद्र में हैं।
Corporate Governance क्या है?
सरल भाषा में:
Company को कौन control करता है, decisions कैसे लिए जाते हैं और management को कौन monitor करता है—इसी व्यवस्था को broadly Corporate Governance कहा जा सकता है।
एक अच्छी governance system में:
Management
काम करती है।
↓
Board
management की निगरानी करता है।
↓
Audit Committee
financial reporting और internal controls की समीक्षा करती है।
↓
External Auditor
financial statements की स्वतंत्र जांच करता है।
↓
Shareholders
पूरे system को accountability देते हैं।
अगर इनमें से कई layers कमजोर हो जाएँ:
Fraud का Risk बढ़ सकता है।
Satyam का सबसे बड़ा Governance Lesson
“Board होना और Effective Board होना अलग बात है।”
कंपनी के पास Board था।
Independent directors भी थे।
Audit committee भी थी।
Auditor भी था।
लेकिन सवाल यह है:
क्या ये सभी लोग management को पर्याप्त challenge कर रहे थे?
यही governance का वास्तविक test है।
Accounting Manipulation क्यों की जाती है?
यहाँ MBA student को एक important concept समझना चाहिए:
Management पर अक्सर pressure होता है:
Revenue Growth
Profit Growth
Earnings Expectations
Stock Price
अगर वास्तविक performance कमजोर हो और management market को strong performance दिखाना चाहे, तो financial reporting में manipulation का temptation पैदा हो सकता है।
एक आसान Example
मान लीजिए company ने वास्तव में:
₹100 करोड़
का revenue कमाया।
लेकिन accounts में:
₹120 करोड़
दिखा दिया।
अब:
Revenue ↑
Profit ↑
Company ज्यादा attractive दिखाई देगी।
Investor सोच सकता है:
“Business बहुत तेजी से बढ़ रहा है।”
लेकिन वास्तविकता अलग है।
Profit भी बढ़ सकता है
मान लीजिए:
Actual Revenue:
₹100 करोड़
Actual Cost:
₹80 करोड़
Actual Profit:
₹20 करोड़
लेकिन accounts में revenue:
₹120 करोड़
दिखाया गया।
अगर बाकी numbers भी manipulate किए जाएँ तो reported profit:
₹30 करोड़
जैसा दिखाई दे सकता है।
अब company की valuation भी artificially बढ़ सकती है।
Cash का सवाल
यहाँ सबसे important check आता है:
“Profit कहाँ है?”
अगर company:
₹30 करोड़ profit
दिखा रही है,
तो investor को देखना चाहिए:
Operating Cash Flow कितना है?
अगर profit बढ़ रहा है लेकिन cash flow लगातार कमजोर है:
Warning Sign
हो सकता है।
Satyam से यह Lesson क्यों मिलता है?
क्योंकि financial statements में reported cash position भी वास्तविक cash position से अलग दिखाई गई थी।
इसलिए:
Profit देखकर खुश मत होइए। Cash Flow Statement भी पढ़िए।
Revenue और Cash में फर्क
मान लीजिए:
Company ने customer को:
₹100 करोड़
का invoice भेज दिया।
Accounting में:
Revenue
recognise हो सकता है।
लेकिन customer ने अभी payment नहीं किया।
तो:
Cash = ₹0
हो सकता है।
इसलिए:
Revenue ≠ Cash
Receivables का महत्व
अगर company का revenue तेजी से बढ़ रहा है:
Revenue +30%
लेकिन:
Receivables +70%
तो सवाल पूछना चाहिए:
Customers payment क्यों नहीं कर रहे?
हर बार fraud नहीं होता।
लेकिन यह:
Investigation Point
हो सकता है।

Satyam का संकट सामने कैसे आया?
2008 के अंत में company से जुड़ा एक controversial corporate development भी सामने आया।
Satyam के Board ने Maytas Infrastructure और Maytas Properties में investment/acquisition का प्रस्ताव रखा।
इन companies का संबंध Satyam के founder family से था।
इस proposal को लेकर investors और shareholders ने गंभीर सवाल उठाए।
बाद में deal वापस ले ली गई।
इसके बाद company की governance और management credibility पर सवाल और बढ़ गए।
फिर जनवरी 2009 में Ramalinga Raju का confession सामने आया।
Related-Party Transactions क्या होते हैं?
सरल भाषा में:
अगर company:
अपने promoter
या:
promoter से जुड़े business
के साथ transaction करती है,
तो उसे closely examine करना चाहिए।
क्यों?
क्योंकि management के personal/family interests और company shareholders के interests हमेशा समान नहीं हो सकते।
Example
मान लीजिए:
Company A के promoter की दूसरी company B है।
Company A:
Company B से ₹500 करोड़
का asset खरीदती है।
अब shareholder को पूछना चाहिए:
Price fair था?
Independent valuation हुई?
Board ने approval कैसे दिया?

यही:

Satyam में Maytas Episode का Lesson
Maytas transaction ने corporate governance के इस सवाल को सामने ला दिया:
क्या management company के shareholders के हित में decision ले रही है या promoter interests से प्रभावित हो सकती है?
इस proposal के बाद investor confidence को बड़ा झटका लगा।
फिर क्या हुआ?
Ramalinga Raju के disclosure के बाद:
Satyam का share price गिर गया।
Company की credibility टूट गई।
Government ने company के Board को हटाकर नया Board नियुक्त किया।
इसका उद्देश्य company को collapse होने से बचाना और business को operational रखना था।
Company को बचाने की कोशिश
यहाँ एक महत्वपूर्ण lesson है:
Fraud/Accounting Scandal और Operating Business अलग चीजें हो सकती हैं।
Satyam के clients को software services अभी भी चाहिए थीं।
Employees को काम करना था।
Customers को projects continue चाहिए थे।
इसलिए company को तुरंत बंद करने के बजाय:
Business Continuity
पर ध्यान दिया गया।
नया Management
सरकार द्वारा नियुक्त नए Board ने company को stabilize करने की कोशिश की।
बाद में:
Tech Mahindra
ने Satyam में controlling stake हासिल किया।
इसके बाद Satyam को Tech Mahindra के साथ integrate किया गया और आगे चलकर Satyam का स्वतंत्र corporate identity समाप्त हो गया।
यहाँ MBA Student के लिए बड़ा Lesson
Company का Brand खत्म हो सकता है, लेकिन underlying business valuable हो सकता है।
Satyam के पास:

इसलिए scandal के बाद भी business को बचाने की संभावना थी।
Satyam कहाँ सबसे बड़ी गलती कर बैठी?
गलती 1 — Financial Reporting में Manipulation
Company की financial position को वास्तविक स्थिति से अलग दिखाया गया।
गलती 2 — Internal Controls की कमजोरी
अगर internal controls मजबूत होते तो abnormal transactions और financial discrepancies जल्दी पकड़ी जा सकती थीं।
गलती 3 — Board Oversight की विफलता
Board को management के claims को पर्याप्त challenge करना चाहिए।
गलती 4 — Audit Effectiveness पर सवाल
External audit का उद्देश्य financial statements पर reasonable assurance देना है।

Numbers पर भरोसा करें, लेकिन verify भी करें।

इस case के मुख्य facts के लिए Satyam के January 2009 disclosure, Securities and Exchange Board of India (SEBI) के orders, Ministry of Corporate Affairs से संबंधित records, Supreme Court/अन्य न्यायिक records और Tech Mahindra से संबंधित official corporate disclosures को प्राथमिक स्रोत माना जाना चाहिए।
Ramalinga Raju ने जनवरी 2009 में Satyam के accounts में manipulation स्वीकार किया था। बाद की regulatory और judicial proceedings ने इस मामले के विभिन्न aspects पर findings दीं।
Maytas transaction Satyam के promoter-family-linked entities से संबंधित था और December 2008 में proposed transaction के बाद investor/shareholder backlash हुआ; proposal subsequently withdrawn हुआ।
2009 में Government-appointed Board के तहत company को stabilize करने की कोशिश हुई और Tech Mahindra ने controlling stake हासिल किया। बाद में Satyam का Tech Mahindra में integration हुआ।
महत्वपूर्ण: इस case में जिन कानूनी findings/आरोपों का उल्लेख किया जाए, उन्हें संबंधित court या regulator के record के अनुसार ही प्रस्तुत करना चाहिए। Business failure, accounting manipulation और individual criminal liability को एक ही चीज नहीं माना जाना चाहिए।
Case 22: Nirav Modi और PNB Crisis — एक बैंकिंग सिस्टम की कमजोरी ने हजारों करोड़ के घोटाले को कैसे जन्म दिया?
Introduction
भारत के सबसे चर्चित banking fraud cases में से एक है Nirav Modi–Punjab National Bank (PNB) case।
Nirav Modi एक प्रसिद्ध diamond entrepreneur थे और उनका jewellery business भारत के साथ-साथ international markets तक फैला हुआ था। उनके brand ने luxury jewellery segment में मजबूत पहचान बनाई।
लेकिन 2018 में एक banking fraud सामने आया जिसने न केवल Nirav Modi और उनकी companies को संकट में डाला, बल्कि भारत के banking system में internal controls, employee accountability, SWIFT–core banking integration और Letter of Undertaking (LoU) जैसे मुद्दों पर भी गंभीर सवाल खड़े किए।
RBI ने 16 February 2018 को कहा था कि PNB में सामने आया लगभग USD 1.77 billion का fraud operational risk और internal controls की failure से जुड़ा था।
बाद की जांच में CBI complaint और UK court proceedings में Nirav Modi से जुड़ी firms द्वारा fraudulent LoUs के इस्तेमाल का विवरण सामने आया। Westminster Magistrates' Court के judgment में 150 fraudulent LoUs और लगभग ₹6,498.20 करोड़ के cumulative amount का उल्लेख है।
यह case MBA students के लिए इसलिए महत्वपूर्ण है क्योंकि यह सिर्फ एक व्यक्ति या company की कहानी नहीं है।
यह case दिखाता है कि:
अगर business process, technology controls, employee supervision और risk management में छोटी-छोटी कमजोरियाँ एक-दूसरे से जुड़ जाएँ, तो एक बड़ा financial disaster पैदा हो सकता है।
1. Nirav Modi कौन थे?
Nirav Modi एक Indian-origin diamond entrepreneur और luxury jewellery businessman थे।
उन्होंने jewellery business में international luxury positioning बनाने की कोशिश की।
उनके business interests में कई companies शामिल थीं और उनका brand high-end diamond jewellery के लिए जाना जाता था।
उनका business model केवल भारत तक सीमित नहीं था।
उनकी jewellery stores और international presence के कारण brand ने एक global luxury identity बनाने की कोशिश की।
यहीं से एक महत्वपूर्ण MBA lesson शुरू होता है:
एक strong brand और financially sustainable business एक ही चीज नहीं होते।
2. Firestar Diamond क्या था?
Nirav Modi का business ecosystem मुख्य रूप से diamond और jewellery कारोबार से जुड़ा था।
Firestar Diamond group की प्रमुख business entities में से एक था।
Business broadly इस तरह समझा जा सकता है:
Diamonds → Jewellery Manufacturing → Luxury Design → Retail → International Customers
इस model में working capital की जरूरत बहुत ज्यादा होती है।
क्यों?
क्योंकि:
Diamonds महंगे होते हैं
Inventory में बड़ी रकम फँस सकती है
Manufacturing में capital लगता है
Retail stores महंगे होते हैं
International transactions में financing की जरूरत पड़ सकती है
इसलिए jewellery business में working capital management बहुत महत्वपूर्ण होता है।
3. Business तेज़ी से कैसे बढ़ा?
Nirav Modi brand ने luxury jewellery positioning अपनाई।
उनका focus था:
High-end jewellery
International customers
Luxury stores
Celebrity positioning
Global expansion
Business के लिए international growth आकर्षक थी।
लेकिन international jewellery business के साथ:
Inventory + Working Capital + Bank Financing
की जरूरत भी बढ़ती है।
यहीं से banking system के साथ business का connection महत्वपूर्ण हो जाता है।
4. Letter of Undertaking यानी LoU क्या था?
यह पूरे case का सबसे महत्वपूर्ण technical concept है।
इसे बहुत आसान भाषा में समझिए।
मान लीजिए:
एक Indian importer को विदेश में किसी bank से short-term credit चाहिए।
उसका Indian bank एक Letter of Undertaking (LoU) जारी करता है।
यह मूल रूप से दूसरे bank को एक प्रकार का assurance देता है कि:
अगर customer payment नहीं करता, तो issuing bank निर्धारित conditions के अनुसार दूसरे bank के प्रति obligation निभाएगा।
Westminster Magistrates' Court के judgment में LoU को एक प्रकार की bank guarantee के रूप में समझाया गया है, जिसका इस्तेमाल foreign banks से credit लेने में किया जा सकता था।
इसलिए LoU को simple language में ऐसे समझें:
Indian Bank → Foreign Bank को assurance
↓
Foreign Bank → Customer को credit
5. LoU का इस्तेमाल कैसे हुआ?
यहीं से PNB case में असली समस्या सामने आती है।
Court documents के अनुसार Nirav Modi से जुड़ी firms ने PNB से कई LoUs प्राप्त किए।
जांच के अनुसार ये LoUs उचित banking procedures का पालन किए बिना जारी किए गए थे।
Westminster court judgment में आरोपों के अनुसार:
उचित procedures follow नहीं हुए
जरूरी documentation नहीं लिया गया
transactions bank के internal system में properly recorded नहीं हुए
LoUs का उपयोग उस stated purpose के अनुसार नहीं हुआ जिसके लिए वे जारी किए गए थे।
यहाँ ध्यान देने वाली बात है:
LoU अपने आप में illegal instrument नहीं था।
समस्या थी:
उसका alleged fraudulent issuance और internal controls का bypass होना।
6. सबसे बड़ा System Failure क्या था?
यह case केवल borrower का मामला नहीं था।
RBI ने February 2018 में स्पष्ट रूप से कहा कि PNB fraud में operational risk और internal control failure महत्वपूर्ण factors थे।
इसका अर्थ है:
अगर bank में सही controls होते, तो केवल एक या कुछ employees के गलत व्यवहार से इतना बड़ा transaction chain बनना कठिन होना चाहिए था।
यानी सवाल केवल यह नहीं है:
“Fraud किसने किया?”
सवाल यह भी है:
“System ने उसे इतने लंबे समय तक होने कैसे दिया?”
7. SWIFT और Core Banking System का मुद्दा
इस case में technology controls बहुत महत्वपूर्ण हैं।
International banking transactions के लिए banks SWIFT जैसे communication systems का इस्तेमाल करते हैं।
लेकिन transaction का केवल SWIFT system में जाना पर्याप्त नहीं है।
उसे bank के internal Core Banking System (CBS) में भी properly recorded और reconciled होना चाहिए।
अगर:
SWIFT Message
और
Core Banking Record
आपस में properly integrated या reconciled नहीं हों,
तो theoretically ऐसी स्थिति बन सकती है जहाँ transaction का external communication हो जाए लेकिन internal accounting/control system में उसका सही record न बने।
PNB case ने इसी तरह के technology-control gap के बारे में गंभीर सवाल उठाए।
MBA lesson:
Technology तभी useful है जब systems integrated हों और उनके बीच automatic reconciliation हो।
8. एक आसान उदाहरण
मान लीजिए bank के दो systems हैं:
System A
SWIFT
System B
Core Banking System
अगर employee System A से transaction भेज देता है लेकिन System B में transaction record नहीं होता, तो management dashboard में actual exposure दिखाई नहीं दे सकता।
अब अगर यह process:
एक बार नहीं, बल्कि बार-बार
हो,
तो hidden liability बहुत बड़ी हो सकती है।
इसलिए banking में:
System Integration + Reconciliation + Audit Trail
बहुत महत्वपूर्ण हैं।
9. Fraud पहली बार कैसे सामने आया?
January 2018 में PNB की ओर से CBI को complaint दी गई।
Westminster Magistrates' Court judgment के अनुसार 29 January 2018 को PNB के Deputy General Manager ने CBI को complaint दी जिसमें Nirav Modi से जुड़ी firms द्वारा allegedly fraudulent LoUs के इस्तेमाल का आरोप लगाया गया। उस समय bank ने 8 fraudulent LoUs की जानकारी दी और लगभग ₹280.70 करोड़ का अनुमान लगाया।
लेकिन investigation आगे बढ़ी तो मामला बहुत बड़ा निकला।
23 February 2018 को PNB ने CBI को बताया कि investigation में 150 fraudulent LoUs सामने आए और cumulative amount लगभग ₹6,498.20 करोड़ था।
यानी:
Initial estimate → ₹280.70 करोड़
से
Further investigation → ₹6,498.20 करोड़
तक मामला पहुँच गया।
10. ₹13,000 करोड़ की बात क्यों होती है?
आपने news reports में अक्सर लगभग ₹13,000 करोड़ का figure सुना होगा।
यहाँ numbers को समझना जरूरी है।
अलग-अलग stages पर:
PNB का reported fraud amount
CBI investigation amount
विभिन्न companies और related entities की liabilities
अलग-अलग complaints और charges
के कारण figures अलग दिखाई दे सकते हैं।
Westminster court judgment में CBI case के संदर्भ में ₹6,498.20 करोड़ के 150 fraudulent LoUs का specific figure दिया गया है।
इसलिए blog में बिना context के केवल “₹13,000 करोड़ का fraud” लिखना बेहतर नहीं है।
बेहतर wording है:
“Nirav Modi–PNB case में विभिन्न stages पर अलग-अलग amounts सामने आए; CBI-related court record में 150 fraudulent LoUs की cumulative value लगभग ₹6,498.20 करोड़ दर्ज है, जबकि broader public reporting में कुल exposure इससे कहीं अधिक बताया गया।”
11. इतनी बड़ी राशि इतनी देर तक कैसे छिपी रह सकती थी?
यह सबसे महत्वपूर्ण management questions में से एक है।
इसके पीछे कई layers थीं:
1. Employee-level misconduct
कुछ bank employees की भूमिका investigation में सामने आई।
2. Internal controls का bypass
Required procedures allegedly follow नहीं किए गए।
3. System reconciliation की कमजोरी
External messaging और internal banking records के बीच control gap महत्वपूर्ण बना।
4. Management visibility
अगर senior management को real-time exposure का सही picture नहीं मिले, तो risk बढ़ता जाता है।
5. Repeated transactions
एक बार की irregularity और repeated irregularity में बहुत बड़ा अंतर होता है।
12. क्या केवल bank employees जिम्मेदार थे?
यह कहना भी सही नहीं होगा।
Court documents में allegations Nirav Modi से जुड़ी firms, associates और PNB staff के alleged conduct से संबंधित थे।
इसलिए यह case एक multi-party control failure के रूप में समझना बेहतर है।

13. Internal Control क्या होता है?
Internal control का मतलब है:
ऐसी policies और systems जो company में गलती, fraud और misuse को रोकने या जल्दी पकड़ने में मदद करें।

एक employee transaction बनाए।
दूसरा employee approve करे।
Segregation of Duties
जिस व्यक्ति ने transaction बनाया, वही उसे approve न करे।
Reconciliation
External system और internal system के records match किए जाएँ।

हर transaction का record रहे:
किसने बनाया?
किसने approve किया?
कब किया?
Exception Reporting
अगर कोई transaction normal pattern से बाहर है, तो management को automatic alert मिले।
14. इस Case में Maker-Checker क्यों जरूरी था?
मान लीजिए:
Employee A:
LoU बनाता है।
Employee B:
Documents verify करता है।
Employee C:
Final approval देता है।
तो fraud के लिए तीन अलग-अलग controls bypass करने पड़ेंगे।
लेकिन अगर:
एक ही व्यक्ति
transaction:
बनाए + approve करे + communicate करे
तो risk बहुत बढ़ जाता है।
इसलिए banking में:
No single employee should control the entire transaction lifecycle.
15. Due Diligence क्यों महत्वपूर्ण है?
Bank को borrower के बारे में जानना चाहिए:
Business क्या है?
Revenue कितना है?
Cash flow कितना है?
Existing debt कितना है?
कौन-कौन से banks से borrowing है?
Funds कहाँ इस्तेमाल होंगे?
Related parties कौन हैं?
अगर bank केवल:
“Customer बड़ा और famous है”
के आधार पर credit देता है, तो यह पर्याप्त नहीं है।
MBA lesson:
Reputation is not a substitute for due diligence.
16. Jewellery Business में Working Capital Risk
Jewellery business में inventory बहुत expensive होती है।
मान लीजिए company के पास:
₹1,000 करोड़ की diamond inventory
है।
यह asset balance sheet में valuable दिखाई देती है।
लेकिन अगर company को अचानक:
₹500 करोड़ cash
चाहिए, तो inventory तुरंत उसी value पर cash में convert हो जाए—यह जरूरी नहीं।
इसलिए:
Inventory ≠ Cash
और:
Accounting Asset ≠ Liquidity
यह lesson केवल jewellery business पर नहीं, हर business पर लागू होता है।
17. Global Expansion का Risk
Nirav Modi business ने international expansion किया।
Global expansion से:
Brand value बढ़ सकती है
Customer base बढ़ सकता है
Revenue बढ़ सकता है
लेकिन साथ में:
Working capital requirement

Compliance

भी बढ़ते हैं।

18. जब Business तेजी से बढ़ता है तो क्या करना चाहिए?
अगर company तेजी से बढ़ रही है तो management को केवल sales team नहीं बढ़ानी चाहिए।
उसे साथ-साथ बढ़ाना चाहिए:

अगर:

19. Crisis सामने आने के बाद क्या हुआ?
2018 में मामला सार्वजनिक होने के बाद Nirav Modi और उनसे जुड़ी companies पर विभिन्न Indian agencies ने investigation शुरू की।
ED ने PMLA के तहत investigation की और assets attach किए।
2024 के ED release के अनुसार Nirav Modi case में India और abroad में लगभग ₹2,596 करोड़ की assets पहले attach की जा चुकी थीं। इसके अलावा लगभग ₹692.90 करोड़ की assets Fugitive Economic Offenders Act के तहत confiscate होने की जानकारी दी गई। ED ने यह भी बताया कि ₹1,052.42 करोड़ की assets victim banks यानी PNB और consortium banks को restore की जा चुकी थीं।
यह दिखाता है कि financial fraud case केवल criminal investigation तक सीमित नहीं रहता।
इसके बाद:
Asset Tracing → Attachment → Confiscation → Restitution
जैसी प्रक्रियाएँ भी शुरू हो सकती हैं।
20. Nirav Modi और UK Legal Proceedings
Nirav Modi UK में गिरफ्तार हुए और भारत ने extradition की मांग की।
Westminster Magistrates' Court ने 2021 में Government of India के extradition request पर judgment दिया। बाद में UK High Court proceedings भी हुईं।
2024 की ED press release के अनुसार extradition proceedings London में चल रही थीं और Nirav Modi UK jail में थे। उसी release में कहा गया कि उस वर्ष उनका bail application सातवीं बार reject हुआ था।
इसलिए case को केवल 2018 की घटना मानना सही नहीं है।
यह एक लंबी:
Financial + Criminal + Asset Recovery + Extradition
process बन गया।
21. PNB पर क्या असर पड़ा?
PNB case का असर केवल Nirav Modi की companies तक सीमित नहीं रहा।
Bank को:
Financial loss
Provisioning pressure

जैसी समस्याओं का सामना करना पड़ा।
RBI ने 2019 में PNB पर monitoring of end-use of funds, exchange of information with other banks और restructuring-related directions के non-compliance के लिए ₹10 million की monetary penalty भी लगाई थी।
यह दिखाता है कि fraud के बाद regulator केवल fraudster को नहीं देखता।
वह यह भी देखता है:

22. क्या PNB Case के बाद Banking System में बदलाव हुए?
इस case ने banks में:
SWIFT–CBS integration
real-time monitoring
reconciliation
employee accountability
credit controls
audit
fraud reporting
जैसे मुद्दों को बहुत अधिक महत्व दिया।
RBI पहले से ही banks को fraud monitoring और internal controls के बारे में guidelines देता रहा था। RBI के fraud-management framework में banks को frauds report करने, Board-level review और internal controls जैसे mechanisms रखने की requirements दी गई थीं।
2024 में RBI ने regulated entities के लिए revised Fraud Risk Management Directions भी जारी किए।
23. असली Management Failures क्या थे?
अब इस पूरे case को MBA perspective से देखें।
Mistake 1: Internal Controls को कमजोर छोड़ना
Banking में control कोई optional feature नहीं है।
यह core business infrastructure है।

जब Jewellery Empire, Bank Finance और Governance Crisis में फंस गया
एक बड़ा Jewellery Business आखिर क्यों टूट गया?
भारत में jewellery business केवल brand का खेल नहीं है।
इसमें बहुत बड़ी मात्रा में पैसा:
Gold
Diamonds
Jewellery inventory
Working capital
Bank finance
में लगा रहता है।
Gitanjali Gems इसी industry की एक बड़ी company थी और Mehul Choksi इसके promoter और Managing Director थे। NCLT के 8 October 2018 के order में Gitanjali Gems को gold jewellery manufacturing, importing और exporting business में बताया गया है और Mehul Choksi को promoter तथा Managing Director बताया गया था।
लेकिन 2018 में Punjab National Bank से जुड़े बड़े financial fraud मामले के सामने आने के बाद group की financial position और credibility पर भारी असर पड़ा।
इसके बाद company insolvency process में गई और अंततः liquidation तक पहुंची। IBBI के records के अनुसार Gitanjali Gems का CIRP 2018 में शुरू हुआ और February 2024 में liquidation शुरू हुई।
पहले समझिए — Gitanjali Gems का Business Model
Gitanjali Gems jewellery value chain के कई हिस्सों में काम करती थी।
Broadly इसमें:
Jewellery Manufacturing

जैसी activities शामिल थीं।
यह model scale के कारण बड़ा business बना सकता है।
लेकिन इसका दूसरा पक्ष है:
बहुत ज्यादा Working Capital

मान लीजिए एक jewellery company के पास:
₹1,000 करोड़
की inventory है।
यह देखकर company बहुत मजबूत दिखाई दे सकती है।
लेकिन यह पूरा ₹1,000 करोड़:
Cash नहीं है।
यह:

के रूप में पड़ा है।
जब तक यह inventory बिकती नहीं:
Cash वापस नहीं आता।

Asset बड़ा होना और Cash-rich होना अलग बातें हैं।
एक company के पास:

हो सकती है,
लेकिन bank में:
₹50 करोड़ Cash
ही हो सकता है।
इसलिए:

Jewellery Business में Bank Finance क्यों जरूरी होता है?
Jewellery business में raw material और inventory महंगी होती है।
Company को:
आज माल खरीदना है
लेकिन:
Customer बाद में payment करेगा।

से manage किया जाता है।
अब समझिए Bank Finance का Risk
मान लीजिए:

की working capital चाहिए।
Bank financing उपलब्ध है।
Company तेजी से expand करती है।

Business अच्छा दिखाई देता है।
लेकिन अगर financing अचानक रुक जाए:
Inventory खरीदना मुश्किल
Suppliers को payment मुश्किल
Production प्रभावित

पूरा business cycle टूट सकता है।
Gitanjali Case में सबसे बड़ा Turning Point
2018 में Punjab National Bank से जुड़े Letters of Undertaking और अन्य banking transactions का मामला सामने आया।
इस broader PNB fraud case में Gitanjali group और Mehul Choksi से जुड़ी entities भी investigation के दायरे में आईं।
Enforcement Directorate की investigation के अनुसार Choksi और associates पर 2014–2017 के दौरान PNB officials के साथ मिलकर Letters of Undertaking और Foreign Letters of Credit हासिल करने के आरोप लगाए गए; ED ने बाद में PNB को लगभग ₹6,097.63 करोड़ के wrongful loss की बात कही। यह ED का investigative/prosecution position है, इसे बिना qualification के final judicial finding नहीं लिखना चाहिए।
LoU क्या था?
सरल भाषा में:
अगर किसी Indian company को विदेश से short-term credit चाहिए, तो एक bank दूसरे bank को assurance दे सकता है कि borrower की obligation पूरी न होने पर issuing bank जिम्मेदारी निभाएगा।
इसी तरह के banking instruments में:
Letter of Undertaking
महत्वपूर्ण था।
Problem केवल Loan की नहीं थी
MBA student को यह समझना जरूरी है।
ऐसे मामले में केवल यह सवाल नहीं है:
“Company ने कितना पैसा लिया?”
बल्कि:
“Banking system ने उस exposure को कैसे monitor किया?”
और:
“Company का actual total financial exposure कितना था?”

लेकिन distress situation में:
Jewellery को जल्दी बेचने पर discount

अलग हो सकती हैं।

Books में jewellery:
₹100 करोड़
की दिखाई जा रही है।
लेकिन company को cash की तुरंत जरूरत है।
अगर वह inventory जल्दी बेचती है तो:
₹80 करोड़
ही मिल सकते हैं।
इसलिए:

ICICI Bank ने Gitanjali Gems के खिलाफ Insolvency and Bankruptcy Code के तहत application दाखिल की।
NCLT Mumbai Bench ने 8 October 2018 को matter admit किया।
उस order में default amount लगभग:
₹608.64 करोड़
बताया गया था, जिसमें ECB facility से संबंधित debt भी शामिल था।
ध्यान रखें:
यह एक creditor द्वारा insolvency proceedings में cited default था।
इसे PNB fraud amount के साथ जोड़कर एक ही figure नहीं समझना चाहिए।
बहुत महत्वपूर्ण Financial Lesson
इस case में अलग-अलग numbers दिखाई देते हैं:
PNB-related alleged loss
एक अलग figure।
ICICI Bank का admitted/default amount
अलग figure।
Total group liabilities
फिर अलग figure।

इस case में Gitanjali Gems के corporate structure और insolvency के लिए NCLT/IBBI records को प्राथमिक आधार बनाया गया है। NCLT के 8 October 2018 order में ICICI Bank द्वारा Gitanjali Gems के विरुद्ध ₹608.64 करोड़ के default से संबंधित insolvency petition और Mehul C. Choksi को promoter तथा Managing Director के रूप में दर्ज किया गया है।
IBBI records के अनुसार Gitanjali Gems का CIRP 8 October 2018 से जुड़ा है और 7 February 2024 को liquidation process शुरू हुई।
SEBI ने 31 October 2022 को Gitanjali Gems Ltd–Mehul C. Choksi matter में अपना order जारी किया था।
ED के अनुसार PNB-related investigation में Gitanjali Group और Mehul Choksi से जुड़े assets की attachment/seizure और recovery proceedings हुई हैं। ED द्वारा बताए गए आरोपों और figures को investigating agency का case/claim समझना चाहिए, न कि बिना qualification के अंतिम judicial finding।
2026 में भी IBBI records में Gitanjali Gems के liquidation assets की auction notices उपलब्ध हैं, जिससे पता चलता है कि recovery/liquidation process अभी भी विभिन्न assets के स्तर पर जारी रही है।
कानूनी सावधानी: Mehul Choksi या किसी अन्य व्यक्ति के खिलाफ आरोपों को “आरोप”, “जांच”, “ED/CBI का मामला” या संबंधित court/regulator की finding के अनुसार ही लिखा जाना चाहिए। केवल insolvency या investigation के आधार पर किसी व्यक्ति को अपराधी घोषित नहीं किया जाना चाहिए।

जब Bank Finance का दबाव Business को संकट में ले गया
Introduction
भारत के diamond और jewellery business में कई कंपनियों ने तेजी से growth की। लेकिन इस sector की एक बड़ी विशेषता है—यह business अक्सर working capital, bank finance, letters of credit और international trade पर काफी निर्भर करता है।
Winsome Diamonds & Jewellery Ltd. का मामला इसी financial structure की कमजोरियों को समझने के लिए महत्वपूर्ण है।
कंपनी का संकट केवल यह कहानी नहीं है कि एक jewellery business ने पैसा खो दिया। यह case यह समझने का अवसर देता है कि:
जब business का operating model bank finance और trade credit पर बहुत अधिक निर्भर हो जाए, तो repayment failure पूरे banking system के लिए बड़ा exposure बन सकता है।
1. Winsome Diamonds क्या करती थी?
Winsome Diamonds & Jewellery Ltd. diamond और jewellery business से जुड़ी कंपनी थी।
कंपनी का कारोबार भारत के साथ-साथ international markets से भी जुड़ा हुआ था।
Diamond business में raw diamonds खरीदना, processing, manufacturing और international buyers को sales करना—इन सभी activities के लिए बड़ी working capital की जरूरत पड़ सकती है।
यहीं से bank finance की भूमिका शुरू होती है।
2. Diamond Business में Bank Finance क्यों महत्वपूर्ण है?
Diamond trade का business model सामान्य manufacturing business से थोड़ा अलग है।
कंपनी को कई बार:
Raw Material खरीदना → Processing → Inventory रखना → Export/उत्पाद बेचना → Payment प्राप्त करना
पड़ता है।
इन stages के बीच पैसा काफी समय तक business में फंसा रह सकता है।
इसलिए companies working capital facilities और trade-finance instruments का इस्तेमाल करती हैं।
एक महत्वपूर्ण instrument है:
Letter of Credit — LC
LC में bank निर्धारित conditions पूरी होने पर payment की व्यवस्था करता है।
यह international trade को आसान बना सकता है।
लेकिन अगर underlying business transaction या repayment structure में समस्या आ जाए, तो banks का exposure तेजी से बढ़ सकता है।
3. Growth के साथ Financial Exposure बढ़ा
Winsome Diamonds के मामले में banking system का exposure समय के साथ बहुत बड़ा हो गया।
कंपनी को विभिन्न banks से credit facilities मिलीं।
इनमें fund-based और non-fund-based facilities दोनों महत्वपूर्ण थीं।
Non-fund-based facilities में Letters of Credit और अन्य trade-related commitments शामिल हो सकते हैं।

4. फिर आया Repayment Crisis
समय के साथ कंपनी अपने banking obligations को पूरा करने में कठिनाई में आ गई।
जब borrower निर्धारित समय पर bank dues का भुगतान नहीं कर पाता, तो मामला केवल company की internal problem नहीं रहता।
अब banks को भी नुकसान का risk होता है।

5. Banks का Exposure
Winsome Diamonds और उससे संबंधित entities पर भारतीय banking system का बड़ा exposure था।
Reports के अनुसार, banks का कुल exposure हजारों करोड़ रुपये में था।

ऐसे cases banking sector के लिए चुनौतीपूर्ण होते हैं क्योंकि bank का पैसा वास्तव में depositors और financial system से जुड़ा होता है।
इसलिए:
जब एक बड़ा borrower default करता है, तो उसका प्रभाव केवल promoter या company तक सीमित नहीं रहता।
6. Letters of Credit का महत्व
Winsome Diamonds case में Letters of Credit सबसे महत्वपूर्ण financial instruments में से एक थे।
सरल भाषा में समझें:
मान लीजिए एक company को विदेश से माल खरीदना है।
Seller चाहता है कि payment की guarantee मजबूत हो।
Company का bank LC जारी कर सकता है।
इससे seller को confidence मिलता है कि agreed conditions पूरी होने पर payment bank के माध्यम से होगी।
लेकिन अगर company बाद में अपने obligations पूरे नहीं कर पाती, तो bank पर financial liability आ सकती है।
इसलिए LC business के लिए useful instrument है, लेकिन:
LC = Free Money नहीं है।
इसके पीछे वास्तविक financial obligation होता है।
7. असली समस्या कहाँ थी?
Winsome Diamonds case का सबसे महत्वपूर्ण lesson यह है कि किसी company की apparent business activity और उसकी वास्तविक financial health अलग-अलग हो सकती है।
कंपनी का turnover बड़ा हो सकता है।
Exports बड़े हो सकते हैं।
Inventory बड़ी हो सकती है।
लेकिन अगर:
Cash Flow कमजोर है
और
Debt/Bank Obligations बहुत ज्यादा हैं
तो business financially vulnerable हो सकता है।
इसलिए MBA students को केवल sales और turnover नहीं देखना चाहिए।

8. Creditors के लिए Warning Signal
किसी भी lender के लिए कुछ indicators महत्वपूर्ण होते हैं।
1. लगातार बढ़ता debt
अगर borrowing लगातार बढ़ रही है, तो lender को पूछना चाहिए:
Debt का repayment कहाँ से होगा?
2. Working Capital का दबाव
अगर business में cash लगातार फंस रहा है, तो company को बार-बार external finance की जरूरत पड़ सकती है।
3. High Bank Dependence
अगर business का बड़ा हिस्सा bank facilities पर निर्भर है, तो liquidity shock company को तेजी से प्रभावित कर सकता है।
4. Complex Trade Finance
LC और अन्य trade-finance instruments के कारण bank exposure केवल traditional loans से दिखाई नहीं दे सकता।
9. Banking System के लिए Lesson

किसी बड़े borrower को finance देते समय केवल यह देखना पर्याप्त नहीं है कि:
“Company का turnover कितना है?”

10. एक बड़ा सवाल — क्या बड़ा Turnover मतलब सुरक्षित Business?
नहीं।
मान लीजिए:
एक company का annual turnover ₹10,000 करोड़ है।
लेकिन उसके ऊपर:
बहुत बड़ा debt है
working capital लगातार बढ़ रहा है
receivables बढ़ रहे हैं
inventory फंसी हुई है
और operating cash flow कमजोर है
तो केवल ₹10,000 करोड़ turnover देखकर company को financially strong नहीं माना जा सकता।
यही principle Winsome Diamonds जैसे cases से समझ आता है।
11. Recovery आसान क्यों नहीं थी?
जब कोई company default करती है, तो bank के सामने सबसे बड़ा सवाल होता है:
पैसा वापस कैसे आएगा?
अगर company के assets की value कम हो जाए या उन्हें जल्दी बेचने में कठिनाई हो, तो recovery में वर्षों लग सकते हैं।
Diamond और jewellery businesses में valuation और liquidation भी हमेशा straightforward नहीं होते।

Default के बाद पैसा recover करना बहुत कठिन हो सकता है।

अगर expansion debt से किया गया है, तो business को इतना cash generate करना चाहिए कि:

Case Study #25: IL&FS
जब Infrastructure Financing का Empire Liquidity Crisis में फंस गया
Introduction
Infrastructure Leasing & Financial Services — यानी IL&FS — कभी भारत के infrastructure development और infrastructure financing ecosystem की महत्वपूर्ण संस्थाओं में से एक था।
कंपनी और उसके group entities infrastructure projects में financing, development और investment से जुड़े हुए थे।
लेकिन 2018 में IL&FS Group की financial difficulties अचानक पूरे Indian financial system के लिए चिंता का विषय बन गईं।
कंपनी और उसकी group entities ने लगातार अपने financial obligations पर defaults करना शुरू किया।
सरकार के अनुसार, उस समय IL&FS Group पर लगभग ₹91,000 करोड़ का debt था और group के पास 169 companies/entities थीं। Defaults ने mutual funds, NBFCs, debt markets और financial markets में व्यापक चिंता पैदा की।
यही कारण है कि IL&FS crisis को भारत के सबसे महत्वपूर्ण systemic financial stress cases में गिना जाता है।
1. IL&FS क्या था?
IL&FS की स्थापना 1987 में हुई थी।
इसका उद्देश्य infrastructure development और infrastructure financing को support करना था।
समय के साथ IL&FS एक बड़े corporate group में बदल गया।
इसके businesses में:

Infrastructure projects को finance करने के लिए debt महत्वपूर्ण source बन गया।
लेकिन जब एक group लगातार नए projects और entities में फैलता है, तो उसकी financial structure increasingly complex हो सकती है।
IL&FS के मामले में भी group का size और borrowing काफी बढ़ी।
सरकार ने 2018 में कहा था कि group के पास infrastructure और financial assets ₹1.15 लाख करोड़ से अधिक थे, जबकि debt servicing का दबाव लगभग ₹91,000 करोड़ था। Government release ने rapid debt build-up और high leverage को भी highlight किया।
यहीं से एक महत्वपूर्ण lesson निकलता है:
बड़े assets होना और पर्याप्त liquidity होना एक ही बात नहीं है।
4. Asset-rich लेकिन Cash-poor?
यह IL&FS case को समझने का सबसे आसान तरीका है।
मान लीजिए किसी company के पास:
₹100 करोड़ के assets
लेकिन उसके पास तत्काल payment करने के लिए केवल:
₹2 करोड़ cash
है।
अगर उसी समय:
₹10 करोड़ का payment due
हो जाए, तो company technically asset-rich हो सकती है लेकिन liquidity crisis में फंस सकती है।
IL&FS के संकट में भी यही fundamental issue महत्वपूर्ण था:
Assets थे, लेकिन obligations को समय पर पूरा करने के लिए पर्याप्त liquidity नहीं थी।
5. 2018 में संकट सामने आया
2018 के मध्य से IL&FS की financial स्थिति पर गंभीर दबाव दिखाई देने लगा।
June 2018 में rating downgrades शुरू हुए और इसके बाद अन्य rating agencies ने भी ratings घटाईं। सितंबर 2018 तक group की कई entities financial obligations पर default कर चुकी थीं।
फिर situation तेजी से बिगड़ने लगी।
एक default ने दूसरे financial obligations पर pressure डाला।
यह सिर्फ:
Company → Bank
का मामला नहीं रहा।
यह बदल गया:
IL&FS → Banks → Mutual Funds → NBFCs → Debt Market
6. Defaults की शुरुआत
IL&FS Group की companies ने August और September 2018 में:
Term deposits
Short-term deposits
Inter-corporate deposits
Commercial paper
Non-convertible debentures
से जुड़े कई obligations पर defaults किए।
भारत सरकार ने बताया कि इन defaults और rating downgrades ने financial markets में redemption pressure पैदा किया।
यहीं से IL&FS crisis का systemic nature सामने आया।
7. Rating Downgrade ने Situation और खराब की
Credit rating किसी company के लिए केवल एक number नहीं होती।
अगर किसी company की rating बहुत अच्छी है, तो investors उसे relatively safer borrower मान सकते हैं।
लेकिन जब rating अचानक गिरती है:
AAA/High Grade
↓
Downgrade
↓
Investor Confidence ↓
↓
Funding Cost ↑
↓
Refinancing कठिन
↓
Liquidity Pressure ↑
अगर company पहले से heavily leveraged हो, तो यह chain बहुत खतरनाक हो सकती है।
IL&FS के मामले में 2018 में rating downgrades तेजी से हुए और कई group entities default/junk category तक पहुंचीं।
8. सबसे बड़ी समस्या — Liquidity
IL&FS crisis को केवल “debt crisis” कहना अधूरा है।
यह एक liquidity crisis भी था।
क्योंकि company के सामने सवाल था:
“क्या हम अपनी immediate financial obligations को समय पर पूरा कर सकते हैं?”
जब short-term obligations लगातार due होने लगे और fresh funding मुश्किल हुई, तो संकट तेजी से बढ़ा।
9. Contagion Effect
IL&FS का सबसे बड़ा lesson है:
एक बड़ी financial company का default अकेला नहीं रहता।
Banks, mutual funds और अन्य financial institutions IL&FS instruments में exposure रखते थे।
जब IL&FS default करने लगा तो investors को दूसरे NBFCs और financial companies के बारे में भी चिंता होने लगी।
भारत सरकार ने उस समय कहा कि IL&FS defaults के कारण mutual funds पर redemption pressure आया और इसका असर debt, money तथा equity markets तक पहुंचा।
RBI ने भी बाद में बताया कि IL&FS episode के बाद corporate bond market में credit-risk premium बढ़ा और कुछ NBFCs को liquidity squeeze का सामना करना पड़ा।
यही है:
Contagion
एक institution की financial problem दूसरे institutions तक फैलने लगती है।
10. सरकार ने Board अपने हाथ में लिया
स्थिति को देखते हुए Government of India ने IL&FS के existing board को हटाकर नया board नियुक्त करने की प्रक्रिया शुरू की।
1 October 2018 को government ने बताया कि IL&FS के management में बदलाव किया जा रहा है ताकि assets और infrastructure projects को preserve किया जा सके और financial contagion को रोका जा सके।
NCLT ने 1 October 2018 को Centre को IL&FS का board take over करने की अनुमति दी।
यह एक extraordinary intervention था।
11. New Board का लक्ष्य क्या था?
नए management के सामने दो बड़े लक्ष्य थे:
1. Financial stability
और
2. Assets की value बचाना
क्योंकि अगर IL&FS की सभी assets distress में बेचनी पड़तीं, तो creditors को बहुत कम recovery मिल सकती थी।
इसलिए approach थी:
Asset Monetisation
Restructuring
Debt Resolution
12. केवल Company को नहीं, System को बचाना था
यह IL&FS case को बाकी corporate failures से अलग बनाता है।
अगर एक सामान्य company fail होती है, तो मुख्य concern होता है:
Employees + Creditors + Shareholders
लेकिन IL&FS का मामला बड़ा था।
यह financial markets में confidence को प्रभावित कर रहा था।
इसलिए concern बन गया:
IL&FS
↓
Creditors
↓
Mutual Funds
↓
NBFC Funding
↓
Debt Market
↓
Financial Stability
इसीलिए इसे systemically important crisis माना गया।
13. Books और Financial Statements की जांच
IL&FS के crisis के बाद financial reporting और governance पर भी गंभीर सवाल उठे।
ICAI के अनुसार, NCLT ने January 2019 में IL&FS, IFIN और ITNL के FY2012-13 से FY2017-18 तक के financial statements को reopen और recast करने के निर्देश दिए थे। SFIO द्वारा affairs की investigation भी चल रही थी।
यह point MBA students के लिए बहुत महत्वपूर्ण है।
क्योंकि:
Financial statements केवल accounting documents नहीं हैं।
वे lenders, investors और regulators के decision-making का आधार होते हैं।
14. IL&FS और Corporate Governance
IL&FS case में corporate governance सबसे महत्वपूर्ण learning areas में से एक है।
एक बड़ा corporate group होने के बावजूद:
Group structure बहुत complex था
Multiple subsidiaries थीं
Borrowing कई entities में फैली थी
Financial obligations interconnected थे
और leverage बहुत अधिक था
इससे सवाल उठता है:
Board को consolidated risk कितना स्पष्ट दिखाई दे रहा था?
और:
क्या risk management growth के साथ उसी speed से बढ़ा था?
15. “Too Complex to Fail”
IL&FS का structure इतना बड़ा और interconnected था कि उसका failure केवल एक company के failure तक सीमित नहीं रह सकता था।
इसलिए IL&FS को समझने के लिए एक phrase उपयोगी है:
Too Complex to Fail
यह जरूरी नहीं कि इसका अर्थ government हमेशा company को बचाएगी।
इसका अर्थ है:
Company के failure का economic impact इतना बड़ा हो सकता है कि authorities को broader financial system को protect करने के लिए intervention करना पड़े।
16. Resolution की लंबी प्रक्रिया
IL&FS resolution कोई एक दिन में होने वाला process नहीं था।
Assets की पहचान, valuation, sale, restructuring और creditors की recovery—इन सबमें समय लगा।
IL&FS की official June 30, 2026 update के अनुसार, group ने अब तक ₹50,387 करोड़ debt discharge किया है और overall resolution value ₹57,556 करोड़ तक पहुंच गई है, जो उसके estimated ₹61,000 करोड़ resolution target का 94% से अधिक है।
इससे पता चलता है कि crisis के कई वर्षों बाद भी resolution process चलता रहा।
17. IL&FS से सबसे बड़ा Financial Lesson
इस case को एक simple formula से समझा जा सकता है:
High Leverage
Long-Term Assets
Short-Term Obligations

अगर company की assets long-term हैं लेकिन liabilities short-term हैं, तो refinancing पर dependence बहुत बढ़ सकती है।
जब तक market funding उपलब्ध है, model चल सकता है।
लेकिन funding बंद होते ही समस्या सामने आ सकती है।
18. MBA Students के लिए 8 बड़े Lessons
Lesson 1 — Debt अपने आप में खराब नहीं है
Debt business को grow करने में मदद कर सकता है।
समस्या तब होती है जब debt repayment capacity से ज्यादा हो जाए।
Lesson 2 — Liquidity और Profit अलग हैं
किसी company के पास valuable assets हो सकते हैं लेकिन immediate cash नहीं।
Lesson 3 — Asset-Liability Mismatch खतरनाक है
Long-term assets को short-term borrowing से finance करने पर refinancing risk बढ़ता है।

इसलिए IL&FS को Part 3 में रखना बिल्कुल उचित है।
Final Takeaway
IL&FS की कहानी हमें यह नहीं सिखाती कि:
“Debt लेना गलत है।”
असल lesson है:
“Debt की maturity, cash flow और repayment capacity को समझे बिना aggressive financial expansion खतरनाक हो सकता है।”
IL&FS के पास बड़ी infrastructure assets थीं।
लेकिन financial system में भरोसा केवल assets से नहीं चलता।
उसे चाहिए:
Liquidity + Transparency + Governance + Risk Management + Sustainable Leverage
2018 का IL&FS crisis इसी बात का बड़ा उदाहरण बन गया।
एक लाइन में पूरा Case:
“IL&FS बहुत बड़ा था, लेकिन उसकी financial structure इतनी leveraged और interconnected हो गई कि liquidity crisis ने एक corporate problem को पूरे financial system की चिंता में बदल दिया।”
Case 26: Rana Kapoor और Yes Bank — एक तेजी से बढ़ता Private Bank संकट में कैसे पहुँचा?
Introduction
भारत के banking sector में Yes Bank की कहानी एक समय तेजी से बढ़ते हुए modern private bank की success story थी।
इसके प्रमुख चेहरों में से एक थे Rana Kapoor, जिन्होंने 2004 में Yes Bank की स्थापना में महत्वपूर्ण भूमिका निभाई और लंबे समय तक Managing Director और CEO के रूप में बैंक का नेतृत्व किया।
एक समय Yes Bank भारत के सबसे तेजी से बढ़ते private-sector banks में शामिल हो गया था। 2019 की Yes Bank documentation में बैंक को उस समय भारत का चौथा सबसे बड़ा standalone private-sector bank बताया गया और उसके total assets ₹3.78 लाख करोड़ से अधिक होने की बात कही गई।
लेकिन कुछ ही वर्षों बाद कहानी पूरी तरह बदल गई।
5 मार्च 2020 को RBI ने Yes Bank पर moratorium लगाया।
इसके बाद RBI ने bank की financial position को बचाने के लिए reconstruction scheme तैयार की और State Bank of India को प्रमुख investor के रूप में शामिल किया। RBI के अनुसार बैंक की liquidity, capital और अन्य critical parameters की स्थिति तेजी से बिगड़ रही थी और credible capital-infusion plan उपलब्ध नहीं था।
यह case MBA students के लिए इसलिए महत्वपूर्ण है क्योंकि यह केवल एक bank की failure story नहीं है।
यह case बताता है कि:
तेजी से बढ़ती lending, कमजोर asset quality, governance problems और risk management की कमी मिलकर एक सफल दिखने वाले financial institution को संकट में डाल सकती हैं।
1. Rana Kapoor कौन थे?
Rana Kapoor भारतीय banking sector के प्रमुख entrepreneurs में से एक रहे हैं।
उन्होंने Ashok Kapur और अन्य सहयोगियों के साथ मिलकर Yes Bank को स्थापित किया।
2004 में शुरू हुआ Yes Bank एक नए-generation private-sector bank के रूप में सामने आया।
इसका लक्ष्य traditional banking से आगे जाकर corporate और emerging businesses को financial services देना था।
Rana Kapoor लंबे समय तक बैंक के Managing Director और CEO रहे और bank की aggressive growth strategy में उनकी महत्वपूर्ण भूमिका रही।
Yes Bank के अपने corporate disclosures में भी Kapoor को bank के निर्माण और growth में instrumental बताया गया था।
2. Yes Bank की शुरुआत कैसे हुई?
2004 में जब Yes Bank शुरू हुआ, तब भारतीय banking sector में private banks के लिए तेजी से विस्तार की संभावना थी।
नई economy में:
Infrastructure
Real Estate
Telecom
Power
Financial Services
Corporate Lending
जैसे sectors तेजी से बढ़ रहे थे।
Yes Bank ने इन businesses को aggressively target किया।
Bank ने खुद को एक modern, technology-driven और corporate-focused private bank के रूप में position किया।
इस strategy ने शुरुआत में अच्छा काम किया।
3. Yes Bank की Growth Story
Yes Bank ने बहुत तेजी से अपना loan book बढ़ाया।
Deposit base बढ़ा।
Corporate customers बढ़े।
Branch network और financial products का विस्तार हुआ।
2018 तक bank ने अपनी balance sheet को बहुत तेजी से expand किया था।
एक 2018 Yes Bank results call में balance-sheet size के लगभग ₹2 trillion से ₹3 trillion तक बढ़ने का उल्लेख हुआ था।
यानी growth बहुत तेज थी।
और यही आगे चलकर एक महत्वपूर्ण सवाल बना:
क्या risk management भी उसी speed से बढ़ रहा था?
4. Banking Business में सबसे महत्वपूर्ण चीज क्या है?
एक bank का business साधारण company से अलग होता है।
एक manufacturing company:
Raw Material → Product → Sale → Cash
करती है।
लेकिन bank:
Deposits → Loans → Interest Income → Repayment
के आधार पर काम करता है।
इसलिए bank का सबसे बड़ा asset होता है:
Loan Book
और सबसे बड़ा risk होता है:
Loan वापस न आना।
अगर bank बहुत तेजी से loans देता है लेकिन borrowers की repayment capacity का सही assessment नहीं करता, तो future में:
Loan → Stress → NPA → Provision → Loss
हो सकता है।
5. Yes Bank की सबसे बड़ी समस्या कहाँ बनी?
Yes Bank ने corporate lending में बहुत तेजी से growth की।
Infrastructure, real estate और दूसरे stressed sectors में exposure बढ़ा।
यहाँ एक महत्वपूर्ण distinction है:
Corporate lending गलत नहीं है।
समस्या तब होती है जब:
Risk concentration बढ़ जाए
Weak borrowers को ज्यादा lending हो
Collateral की quality कमजोर हो
Repayment assumptions बहुत optimistic हों
Bad loans को समय पर पहचानने में समस्या हो
Yes Bank के संकट में asset quality और stressed loans महत्वपूर्ण मुद्दे बने।
6. NPA क्या होता है?
MBA students के लिए पहले NPA समझना जरूरी है।
NPA = Non-Performing Asset
अगर borrower loan का interest या principal समय पर नहीं चुकाता और regulatory criteria के अनुसार loan non-performing हो जाता है, तो bank को उसे NPA के रूप में classify करना पड़ सकता है।
उदाहरण:
Bank ने किसी company को:
₹100 करोड़ loan दिया।
Company की financial condition खराब हो गई।
अब company interest और principal नहीं चुका पा रही।
तो bank के लिए:
₹100 करोड़ का loan = potential problem asset
बन जाता है।
Bank को ऐसी स्थिति में provisioning करनी पड़ती है।
यानी:
Profit कम होगा + Capital पर pressure आएगा।
7. Asset Quality का Warning Signal
Yes Bank की कहानी में asset-quality recognition सबसे महत्वपूर्ण issues में से एक रहा।
2018 की disclosures में bank के पुराने RBI assessment से संबंधित divergence का मुद्दा सामने आया था।
CARE Ratings की July 2018 report में उल्लेख था कि March 2017 के लिए bank ने Gross NPAs लगभग ₹2,019 करोड़ report किए थे, जबकि RBI assessment में यह figure ₹8,374 करोड़ था। Report के अनुसार बाद में divergence के प्रभाव को bank की financials में recognize किया गया।
यह एक बहुत बड़ा warning signal था।
MBA lesson:
अगर management और regulator किसी loan book की quality को अलग-अलग तरीके से देख रहे हों, तो यह serious governance और risk-management concern हो सकता है।
8. लेकिन उस समय Yes Bank पूरी तरह कमजोर क्यों नहीं दिख रहा था?
यही इस case को interesting बनाता है।
2018 में Yes Bank के कई financial indicators अभी भी मजबूत दिखाई देते थे।
CARE की report के अनुसार March 2018 में bank का total capital adequacy ratio लगभग 18.4% था और Tier-I capital ratio 13.2% था।
इसलिए केवल एक ratio देखकर यह कहना गलत होगा कि bank तुरंत collapse होने वाला था।
असल problem थी:
Future risk का accumulation.
Bank के loan book में stress बढ़ता गया।
और जैसे-जैसे stressed loans सामने आने लगे, capital और profitability पर pressure बढ़ने लगा।
9. Aggressive Growth का दूसरा पक्ष
Banking में growth attractive होती है।
अगर loan book 30% बढ़ता है:
→ Interest income बढ़ सकती है
→ Profit बढ़ सकता है
→ Market valuation बढ़ सकती है
→ Investor confidence बढ़ सकता है
लेकिन दूसरी तरफ:
→ Credit risk बढ़ता है
→ Monitoring requirement बढ़ती है
→ Provisioning risk बढ़ता है
→ Capital requirement बढ़ती है
इसलिए:
Loan growth जितनी तेज हो, credit underwriting और risk management उससे भी तेज मजबूत होना चाहिए।
10. Rana Kapoor का Leadership Style
Rana Kapoor को एक ambitious और aggressive banking entrepreneur के रूप में देखा गया।
उनके leadership period में Yes Bank ने तेजी से expansion किया।
लेकिन founder-led organisations में एक common risk होता है:
Founder की personality और institution की decision-making process बहुत closely जुड़ सकती है।
अगर:
Founder = Strategy + Lending Culture + Relationships + Decision Making
बहुत ज्यादा हो जाए, तो organisation में independent challenge कम हो सकता है।
इसलिए modern banking में:
Independent Board
Risk Committee
Credit Committee
Internal Audit
Compliance
Independent Directors
बहुत महत्वपूर्ण होते हैं।
11. 2018–2019: कहानी बदलने लगी
2018 तक bank की asset quality और regulatory concerns ज्यादा स्पष्ट होने लगे।
RBI और bank के बीच asset classification और provisioning को लेकर scrutiny बढ़ी।
2019 में Rana Kapoor का CEO के रूप में tenure समाप्त हुआ।
Yes Bank के 2018-19 AGM documentation के अनुसार bank ने उनके 2014-15 और 2015-16 के performance bonuses का 100% clawback भी RBI के directions के अनुसार approve किया था।
यह बताता है कि leadership और governance के मुद्दे अब केवल market discussion नहीं रह गए थे।
12. Bank की सबसे बड़ी समस्या: Capital
Banking business में capital बहुत महत्वपूर्ण है।
अगर bad loans बढ़ते हैं:
Provisioning बढ़ती है
↓
Profit घटता है
↓
Net worth पर pressure आता है
↓
Capital adequacy कमजोर हो सकती है
↓
नई capital की जरूरत पड़ती है
अगर bank समय पर capital नहीं जुटा पाए, तो crisis बढ़ सकता है।
2019–20 तक Yes Bank इसी प्रकार के गंभीर capital और liquidity pressure में पहुँच गया।
13. Investors का Confidence क्यों महत्वपूर्ण है?
Banking business confidence पर चलता है।
Customer bank में पैसा इसलिए रखता है क्योंकि उसे विश्वास है कि:
“मेरा पैसा सुरक्षित है।”
Investor bank में पैसा इसलिए लगाता है क्योंकि उसे विश्वास है कि:
“Bank future में profitable रहेगा।”
अगर confidence टूटता है:
Deposits पर pressure आ सकता है।
Share price गिर सकता है।
Capital raising मुश्किल हो सकती है।
Liquidity pressure बढ़ सकता है।
इसलिए bank में:
Trust itself is an economic asset.
14. मार्च 2020: संकट अपने चरम पर
5 मार्च 2020 को RBI ने Yes Bank को moratorium के तहत रखा।
RBI के अनुसार bank की financial position में:
Liquidity deterioration
Capital weakness
Other critical parameters में deterioration
और credible capital infusion plan की कमी
जैसी समस्याएँ थीं।
इसी कारण RBI ने depositor और public interest को देखते हुए तत्काल intervention किया।
यह किसी normal private bank के लिए extraordinary situation थी।
15. Moratorium का मतलब क्या था?
Moratorium का मतलब था कि bank के normal operations पर अस्थायी restrictions लगाई गईं।
RBI की notification के अनुसार moratorium 5 मार्च 2020 से 3 अप्रैल 2020 तक लागू किया गया था।
इसका उद्देश्य bank को collapse होने देना नहीं था।
उद्देश्य था:
Systemic stability + Depositor protection + Reconstruction
16. RBI ने Yes Bank को बचाया क्यों?
यहाँ एक महत्वपूर्ण MBA lesson है।
Banking sector में किसी बड़े bank का collapse केवल उसके shareholders को प्रभावित नहीं करता।
इसके effects हो सकते हैं:
Depositors
↓
Businesses
↓
Other Banks
↓
Financial Markets
↓
Payment System
↓
Entire Economy
इसलिए regulators systemic banks को सामान्य companies की तुलना में अलग तरीके से handle करते हैं।
17. State Bank of India की भूमिका
RBI की reconstruction scheme में State Bank of India (SBI) को प्रमुख investor बनाया गया।
Draft reconstruction scheme के अनुसार SBI को Yes Bank में निवेश करके reconstructed bank में 49% shareholding रखने की व्यवस्था की गई थी।
यह private-bank rescue का एक महत्वपूर्ण उदाहरण था।
यह rescue केवल पैसा डालने का काम नहीं था।
इसके साथ:
नया Board
नया management
fresh capital
governance restructuring
भी किया गया।
18. Promoter Control का क्या हुआ?
Reconstruction के बाद पुराने promoters का control समाप्त हो गया।
Yes Bank की 2019-20 annual report के अनुसार reconstruction scheme लागू होने के बाद Rana Kapoor Group और Madhu Kapur Group की combined shareholding घटकर 1.42% रह गई और वे bank के affairs पर direct या indirect control नहीं रखते थे।
यानी:
Founder-led Bank
से
Institution-led Bank
की ओर transition हुआ।
19. Additional Tier-1 Bonds का क्या हुआ?
Yes Bank rescue का एक controversial हिस्सा था:
AT1 bonds
RBI reconstruction scheme के अनुसार Yes Bank द्वारा Basel III framework के तहत जारी Additional Tier 1 capital instruments को appointed date से permanently और fully write down किया जाना था।
इससे investors के बीच बड़ा विवाद पैदा हुआ।
MBA students के लिए lesson:
Financial instruments को केवल “fixed income” समझकर खरीदना खतरनाक हो सकता है। उनके contractual और regulatory risk को समझना जरूरी है।
20. Rana Kapoor पर लगे आरोप
यहाँ facts और allegations को अलग रखना बहुत जरूरी है।
Rana Kapoor के खिलाफ बाद में Enforcement Directorate और अन्य agencies ने विभिन्न financial transactions से जुड़े आरोपों की जांच की।
उदाहरण के लिए ED ने DHFL-related मामले में आरोप लगाया कि Yes Bank ने DHFL में लगभग ₹3,700 करोड़ short-term non-convertible debentures और ₹283 करोड़ Masala Bonds में निवेश किया और आरोप के अनुसार इसके साथ Rana Kapoor से जुड़ी entities को कथित अनुचित लाभ मिला। ED ने ₹600 करोड़ के alleged kickback/loan transaction का भी उल्लेख किया।
यहाँ महत्वपूर्ण बात है:
Agency allegation को court द्वारा proven guilt के बराबर नहीं माना जाना चाहिए।
इसलिए MBA case में इन घटनाओं को:
“आरोप और जांच”
के रूप में लिखना उचित है, न कि बिना qualification के अपराध सिद्ध होने के रूप में।
21. 2026 तक मामला पूरी तरह खत्म नहीं हुआ
Yes Bank से जुड़े financial-crime investigations समय के साथ भी जारी रहे।
उदाहरण के लिए June 2026 में ED ने एक अलग HDIL-related investigation में Rana Kapoor से जुड़े alleged loan diversion और stressed assets के transactions का उल्लेख किया और कहा कि investigation जारी है।
इसलिए Rana Kapoor case को केवल 2020 के bank reconstruction तक सीमित करना पूरी picture नहीं देता।

Mistake 1: बहुत तेज Loan Growth
Rapid growth ने bank को बड़े corporate exposures लेने की ओर धकेला।

Case 27- Sterling Biotech Case Study: तेज Expansion, Bank Finance और Corporate Governance Failure से क्या सीखें?
परिचय
भारत में कई कंपनियों ने तेजी से growth हासिल की, लेकिन कुछ मामलों में aggressive expansion, भारी borrowing, कमजोर financial controls और corporate governance की समस्याओं ने business को संकट में डाल दिया।
Sterling Biotech Limited (SBL) ऐसा ही एक महत्वपूर्ण case है। यह case MBA students के लिए इसलिए महत्वपूर्ण है क्योंकि इसमें business expansion, debt financing, financial reporting, internal controls, corporate governance, banking risk और insolvency जैसे कई management concepts एक साथ दिखाई देते हैं।
Sterling Biotech के मामले में जांच एजेंसियों ने company और उसके promoters/directors पर bank fraud तथा अन्य financial irregularities से जुड़े गंभीर आरोप लगाए। इन आरोपों को समझते समय यह ध्यान रखना जरूरी है कि किसी जांच एजेंसी का आरोप अपने-आप में न्यायिक रूप से सिद्ध अपराध नहीं होता।
1. Sterling Biotech क्या थी?
Sterling Biotech Limited एक भारतीय कंपनी थी और यह Sandesara Group से जुड़ी हुई थी। कंपनी का business मुख्य रूप से pharmaceutical और gelatin manufacturing से संबंधित था।
कंपनी के प्रमुख promoters/directors में Nitin Sandesara, Chetan Sandesara और Dipti Sandesara जैसे नाम सामने आए।
कंपनी ने अपने business और expansion के लिए banking system से बड़े स्तर पर credit facilities लीं।
2. Growth और Expansion की शुरुआत
किसी भी company के लिए expansion सामान्य business strategy है।
नई factories लगाना, production capacity बढ़ाना, working capital बढ़ाना और नए markets में जाना—इन सबके लिए capital की जरूरत होती है।
Sterling Biotech ने भी अपने business को expand करने के लिए financial institutions और banks से funding प्राप्त की।
यहीं से इस case का सबसे महत्वपूर्ण MBA lesson सामने आता है:
Expansion तभी sustainable है जब उसके पीछे मजबूत cash flow, transparent accounting और effective financial controls हों।
सिर्फ business का आकार बढ़ाना पर्याप्त नहीं है।
3. Banks से बड़ी Credit Facilities
Sterling Biotech के मामले में कई banks का consortium involved था। इनमें Andhra Bank, UCO Bank, Bank of India और State Bank of India जैसे lenders शामिल थे।
बाद में investigating agencies ने आरोप लगाया कि company ने कथित रूप से गलत/फर्जी records के माध्यम से अपनी turnover और capital investments को बढ़ा-चढ़ाकर दिखाया और इसी आधार पर credit facilities प्राप्त कीं।
Enforcement Directorate की 2025–26 Annual Report के अनुसार, agency ने Sterling Biotech मामले में लगभग ₹14,690.95 करोड़ के fraud का अनुमान बताया है।
यह figure investigation agency द्वारा बताई गई estimate है; इसे बिना qualification के “court-proven fraud” के रूप में प्रस्तुत नहीं किया जाना चाहिए।
4. Financial Records पर सवाल
ED के अनुसार, Sterling Biotech के मामले में production और capital asset investments से संबंधित records में कथित manipulation किया गया।
इसका business perspective से अर्थ यह है कि अगर financial statements में business की वास्तविक स्थिति से अलग तस्वीर दिखाई जाए, तो lenders company की वास्तविक repayment capacity का गलत assessment कर सकते हैं।
MBA Lesson:
Financial reporting केवल compliance नहीं है।
यह lenders, investors, employees और management के लिए decision-making का आधार है।
अगर financial information unreliable हो जाए, तो पूरा business decision-making system प्रभावित हो सकता है।
5. Loan Diversion के आरोप
जांच एजेंसी के अनुसार, loan funds को कथित तौर पर विभिन्न domestic और overseas entities के network के माध्यम से divert किया गया।
ED की report में यह भी कहा गया है कि कुछ funds का इस्तेमाल benami entities और Sterling Biotech के shares से संबंधित off-market transactions में किया गया।
यह किसी भी lending institution के लिए बड़ा risk है।
Bank किसी company को loan इसलिए देता है कि उसका इस्तेमाल निर्धारित business purpose में हो और उससे business generate होकर repayment हो।
यदि funds business operations से हटकर दूसरे उद्देश्यों में चले जाएं, तो:
Loan → Business investment → Cash flow → Repayment
का expected cycle टूट जाता है।
6. Corporate Governance की समस्या
Sterling Biotech case को केवल “loan problem” के रूप में देखना अधूरा होगा।
यह corporate governance का भी case है।
एक मजबूत corporate governance system में:
Financial reporting transparent होती है।
Internal controls मजबूत होते हैं।
Auditing effective होती है।
Board management पर उचित oversight रखता है।
Related-party transactions पर monitoring होती है।
Banks को accurate information मिलती है।
Management के decisions पर checks and balances होते हैं।
जब ये mechanisms कमजोर हो जाएं, तो business risk तेजी से बढ़ सकता है।
7. Insolvency Proceedings
Sterling Biotech के खिलाफ Andhra Bank की application पर insolvency proceedings शुरू हुईं।
IBBI records के अनुसार, Sterling Biotech के खिलाफ Corporate Insolvency Resolution Process 11 June 2018 को initiated हुआ।
IBBI के records में 2018 में CIRP admission और बाद में liquidation proceedings दर्ज हैं।
यह दिखाता है कि financial distress केवल accounting या banking issue नहीं रहता। जब company अपनी financial obligations पूरी नहीं कर पाती, तो मामला insolvency resolution framework तक पहुंच सकता है।
8. Liquidation का फैसला
2019 में NCLT Mumbai ने Sterling Biotech के liquidation की प्रक्रिया को आगे बढ़ाया।
IBBI records में 8 May 2019 का liquidation order दर्ज है।
लेकिन company को तुरंत खत्म करने के बजाय उसे एक going concern के रूप में बचाने का रास्ता भी अपनाया गया, क्योंकि company में बड़ी संख्या में employees थे और operating business को preserve करना creditors के लिए बेहतर outcome हो सकता था। Liquidator की filing में भी company को going concern के रूप में sale करने की प्रक्रिया का उल्लेख है।
9. Sterling Biotech की Sale
बाद में Sterling Biotech को Perfect Day Inc. को going concern के रूप में बेचने की प्रक्रिया हुई।
NCLT के 2025 के order में दर्ज है कि CIRP के बाद liquidation proceedings के परिणामस्वरूप Sterling Biotech को Perfect Day Inc. को going concern के रूप में sold किया गया।
IBBI records में भी 11 November 2022 को Sterling Biotech के मामले में “Sale as a Going Concern” दर्ज है।
इसका एक महत्वपूर्ण management lesson है:
Insolvency का मतलब हमेशा business का physical shutdown नहीं होता।
कभी-कभी viable business को नए owner के पास transfer करके उसके operations और assets को बचाया जा सकता है।
10. Employees और Business Continuity
Sterling Biotech case में एक महत्वपूर्ण बात यह भी थी कि company एक operating business थी।
Liquidation-related documents में company के 800 से अधिक employees होने का उल्लेख मिलता है।
इसलिए insolvency process में केवल creditors का पैसा recover करना ही objective नहीं होता।
Management perspective से तीन चीजें महत्वपूर्ण हो सकती हैं:

Sterling Biotech मामले में Enforcement Directorate ने money trail, assets और alleged diversion से संबंधित investigation की।
ED की 2025–26 Annual Report के अनुसार, agency ने मामले में लगभग ₹14,690.95 करोड़ के fraud का estimate बताया और April 2026 तक लगभग ₹9,799.63 करोड़ की restitution/recovery का उल्लेख किया।
यहां भी terminology को सावधानी से समझना चाहिए:
Estimated fraud amount और recovered amount एक ही चीज नहीं हैं।
एक investigation में fraud estimate, attached assets, liquidation proceeds, settlements और actual recovery अलग-अलग legal/financial concepts हो सकते हैं।

Sterling Biotech की कहानी MBA students के लिए सिर्फ एक failed company की कहानी नहीं है।
यह growth strategy, debt management, financial reporting, corporate governance, banking risk और insolvency management को समझने का एक practical case है।
Company के मामले में investigating agencies ने bank fraud और financial irregularities से जुड़े गंभीर allegations/findings दर्ज किए हैं। इसलिए इस case को लिखते समय allegations और अंतिम judicial findings के बीच अंतर बनाए रखना जरूरी है।

जब एक Group की Financial Structure ने Debt Risk को बढ़ा दिया — Vijay Mallya से MBA Lessons
परिचय
भारत के corporate history में Vijay Mallya और UB Group का नाम लंबे समय तक Kingfisher Beer, United Breweries और luxury lifestyle के साथ जुड़ा रहा। लेकिन बाद में यही business empire भारी debt, pledged shares, corporate guarantees और Kingfisher Airlines के financial crisis के कारण गंभीर संकट में फंस गया।
इस कहानी को केवल Kingfisher Airlines की failure story के रूप में देखना अधूरा होगा।
इस केस का महत्वपूर्ण हिस्सा था United Breweries (Holdings) Ltd. (UBHL) और उसकी group company Kingfisher Finvest (India) Ltd. (KFIL) का financial exposure।
इन कंपनियों ने Kingfisher Airlines के loans के लिए shares और अन्य securities को security के रूप में इस्तेमाल किया। जब Kingfisher Airlines अपने debt obligations को पूरा नहीं कर सकी, तो lenders ने इन securities और guarantees को enforce करने की प्रक्रिया शुरू की।
यही इस case का सबसे बड़ा MBA lesson है:
एक company की financial problem पूरे corporate group की balance sheet और assets को प्रभावित कर सकती है, अगर group companies ने बहुत अधिक guarantees और pledged assets दे रखे हों।
1. UB Group क्या था?
United Breweries Group यानी UB Group भारत के प्रमुख business groups में से एक था।
इसके प्रमुख businesses में:
Beer और alcoholic beverages
Aviation
Investments
Real estate
Financial holdings
अन्य businesses
शामिल रहे।
United Breweries Ltd. का flagship beer brand Kingfisher था।
Vijay Mallya UB Group के प्रमुख promoter और चेहरों में से एक थे। SEBI के documents में UBHL को UB Group की flagship holding company के रूप में वर्णित किया गया था।
2. Kingfisher Finvest क्या करती थी?
Kingfisher Finvest (India) Ltd. (KFIL) एक group investment/holding company थी।
इसका महत्व इसलिए बढ़ गया क्योंकि KFIL के पास United Spirits जैसी group companies के shares थे और इन shares का इस्तेमाल Kingfisher Airlines के financing arrangements में security के रूप में किया गया।
यहाँ एक महत्वपूर्ण corporate-finance concept समझना जरूरी है:
Pledged Shares क्या होते हैं?
जब कोई company या promoter अपने shares को loan के बदले security के रूप में lender के पास pledge करता है, तो उसे pledging of shares कहा जाता है।
अगर borrower loan repay नहीं करता, तो agreement और applicable law के अनुसार lender/security trustee pledged shares को invoke करके recovery कर सकता है।
इस case में यही mechanism महत्वपूर्ण बन गया।
3. Kingfisher Airlines से connection
Kingfisher Airlines को तेजी से expand करने के लिए बड़े amount में capital की जरूरत थी।
लेकिन aviation business:
capital intensive होता है,
fuel prices से प्रभावित होता है,
competition ज्यादा होता है,
aircraft leasing और maintenance महंगे होते हैं,
और लगातार cash flow की जरूरत होती है।
Kingfisher Airlines को 2008–2010 के दौरान financial difficulties का सामना करना पड़ा।
इस स्थिति में lenders और company के बीच debt restructuring की प्रक्रिया शुरू हुई।
एक महत्वपूर्ण restructuring agreement यानी Master Debt Recast Agreement (MDRA) 21 December 2010 को हुआ।
इसी restructuring में UBHL और KFIL की securities महत्वपूर्ण बन गईं।
4. सबसे महत्वपूर्ण हिस्सा — Shares को security बनाना
ICICI Bank से जुड़े एक judicial record के अनुसार, लगभग ₹573.72 करोड़ का loan security के रूप में कुछ shares से backed था।
इनमें शामिल थे:
UBHL के United Spirits Ltd. के 31,47,985 shares
UBHL के Kingfisher Airlines के 5,91,50,000 shares
Kingfisher Finvest के United Spirits Ltd. के 17,89,410 shares
ये shares pledged securities के रूप में इस्तेमाल किए गए थे।
इसका अर्थ सरल भाषा में समझें:
Kingfisher Airlines को loan → Group companies ने security दी → shares pledge हुए → Airlines का default → lenders को pledged assets पर recovery rights मिले।
यही इस case की financial chain थी।
5. Debt restructuring क्यों की गई?
जब Kingfisher Airlines financial difficulties में आई, तो lenders ने सीधे business बंद करने के बजाय debt restructuring का रास्ता अपनाया।
₹573.72 करोड़ के संबंधित ICICI exposure में restructuring के तहत:
लगभग ₹403.72 करोड़ monetary loan के रूप में रखा गया
लगभग ₹170 करोड़ को preference/equity structure में convert करने की व्यवस्था हुई
इस arrangement में pledged shares और additional/top-up shares की requirements भी थीं, ताकि lenders की security coverage निर्धारित स्तर पर बनी रहे।
MBA Lesson
Debt restructuring तभी सफल होती है जब:
Debt restructuring + realistic cash flow + viable business model
तीनों मौजूद हों।
सिर्फ loan की repayment schedule बदल देने से underlying business problem खत्म नहीं होती।
6. Corporate Guarantees का Risk
यह इस case का सबसे महत्वपूर्ण MBA concept है।
मान लीजिए:
एक company खुद ₹100 करोड़ का loan नहीं लेती।
लेकिन वह दूसरी group company के ₹100 करोड़ loan की guarantee दे देती है।
पहली company की books में यह तुरंत उसी तरह का ₹100 करोड़ loan नहीं दिखता जैसा direct borrowing में दिखेगा, लेकिन default होने पर उसके ऊपर बड़ा financial obligation आ सकता है।
इसे broadly contingent liability / guarantee exposure के रूप में समझा जा सकता है।
इस case में UBHL और संबंधित group entities का Kingfisher Airlines के debt arrangements से जुड़ा security और guarantee exposure था।
इसलिए Airlines की failure का असर केवल Airlines तक सीमित नहीं रहा।
7. समस्या कहाँ बढ़ी?
Kingfisher Airlines की financial स्थिति लगातार कमजोर होती गई।
Business को cash की जरूरत थी, लेकिन operations पर्याप्त cash generate नहीं कर पा रहे थे।
ऐसी स्थिति में:
Operating loss → Cash-flow pressure → More financing → Debt restructuring → Security/guarantee exposure → Further financial pressure
का cycle बन सकता है।
यही corporate finance का dangerous debt spiral है।
8. Pledged Shares का दूसरा Risk
Shares pledge करने का सबसे बड़ा खतरा है:
Share Price गिरना
अगर किसी company ने ₹1,000 करोड़ के shares pledge करके loan लिया है और share price 50% गिर जाता है, तो lender के लिए security coverage कमजोर हो सकती है।
इसके बाद lender:
additional collateral मांग सकता है,
top-up shares मांग सकता है,
या default की स्थिति में pledged shares invoke कर सकता है।
Kingfisher-related financing arrangements में भी pledged shares की value को निर्धारित coverage levels पर बनाए रखने की provisions थीं।

Market value को permanent collateral value समझना dangerous है।
9. Pledge Invocation शुरू हुआ
जब financial obligations पूरे नहीं हुए, तो pledged shares के invocation की प्रक्रिया शुरू हुई।
United Spirits की annual report में भी KFIL और UBHL से संबंधित pledged shares के invocation का record मिलता है। उदाहरण के लिए, KFIL के shares के संबंध में 2015–16 में pledge invocation दर्ज था।
2018 की SEBI filing में भी UBHL और KFIL द्वारा Kingfisher Airlines तथा United Spirits के shares pledge किए जाने और pledge enforcement से संबंधित litigation का उल्लेख मिलता है।
10. Banks ने Recovery का रास्ता अपनाया
Kingfisher Airlines के default के बाद banks ने केवल borrower company के खिलाफ ही नहीं, बल्कि संबंधित guarantors और security providers के खिलाफ भी recovery proceedings शुरू कीं।
यहाँ Debt Recovery Tribunal (DRT) की भूमिका महत्वपूर्ण रही।
19 January 2017 के Bangalore DRT order के संबंध में SEBI के एक order में दर्ज है कि Vijay Mallya, UBHL, Kingfisher Airlines और Kingfisher Finvest को jointly and severally लगभग ₹6,203 करोड़ plus applicable interest की liability के लिए उत्तरदायी ठहराया गया था।
Joint and Several Liability का अर्थ
अगर कई parties jointly and severally liable हैं, तो creditor applicable legal framework के तहत पूरी outstanding liability की recovery के लिए प्रत्येक liable party के खिलाफ कार्रवाई कर सकता है।
इससे यह समझ आता है कि group-level guarantees और securities कितनी महत्वपूर्ण बन सकती हैं।
11. Recovery के लिए Shares की बिक्री
जब pledged assets recovery के लिए invoke होते हैं, तो उनका उद्देश्य lender के नुकसान को कम करना होता है।
SEBI के 2021 order में बताया गया था कि Bangalore DRT के Recovery Officer ने संबंधित VJM Group shares की sale process शुरू की थी।
इन shares में United Breweries और Vijay Mallya group से संबंधित holdings शामिल थीं।
इसका MBA lesson:
Collateral देने से debt खत्म नहीं होता। Default होने पर collateral भी business owner's wealth को कम कर सकता है।
12. United Breweries और Kingfisher Finvest पर असर
इस crisis ने यह दिखाया कि एक बड़े business group में companies के बीच financial connections कितने महत्वपूर्ण होते हैं।
एक company का debt:
Borrower → Guarantor → Holding Company → Investment Company → Pledged Shares
के माध्यम से कई entities को प्रभावित कर सकता है।
इसी कारण corporate groups में केवल individual company की balance sheet देखना पर्याप्त नहीं है।

15. क्या केवल Debt ही समस्या थी?
नहीं।
Debt अपने आप में खराब नहीं है।
अगर कोई company:
stable cash flow generate करती है,
debt की cost समझती है,
repayment capacity maintain करती है,
adequate reserves रखती है,
तो debt growth का useful tool हो सकता है।
Problem तब आती है जब:
Debt Growth > Cash Flow Growth
हो जाए।
यानी company जितनी तेजी से debt बढ़ा रही है, उसकी repayment capacity उतनी तेजी से नहीं बढ़ रही।

1. Introduction
भारत में newspaper business लंबे समय तक एक मजबूत और relatively stable business माना जाता था।
Deccan Chronicle Holdings Ltd. (DCHL) भी इसी तरह एक सफल media company के रूप में उभरी।
कंपनी का प्रमुख newspaper Deccan Chronicle था। इसके अलावा कंपनी Andhra Bhoomi, Asian Age और Financial Chronicle जैसे publications से भी जुड़ी थी।
लेकिन समय के साथ DCHL ने अपने traditional media business से आगे बढ़कर कई नए businesses में expansion किया।
इसी expansion के दौरान company की financial structure increasingly complex होती गई।
Company ने बड़े स्तर पर borrowing की, कई assets को collateral बनाया और Deccan Chargers IPL team तथा Odyssey retail business जैसे non-core businesses में भी exposure लिया।
अंततः 2012 में company की financial difficulties खुलकर सामने आने लगीं और lenders के सामने recovery का बड़ा संकट खड़ा हो गया।
कुछ वर्षों बाद मामला Insolvency and Bankruptcy Code (IBC) के तहत NCLT तक पहुंचा।
2. Deccan Chronicle क्या थी?
Deccan Chronicle Holdings Ltd. की स्थापना 16 December 2002 को हुई थी।
Company newspaper printing, publication और sale के business में थी।
इसके प्रमुख newspaper brands में:
Deccan Chronicle
Andhra Bhoomi
Asian Age
Financial Chronicle
शामिल थे।
Supreme Court से संबंधित insolvency record में भी DCHL के मुख्य business को newspapers की printing, publication और sale के रूप में दर्ज किया गया है।
3. शुरुआत में Business मजबूत क्यों था?
Newspaper business में DCHL की मजबूत presence थी।
एक established newspaper के पास कई advantages होते हैं:
Brand
पुराने readers और मजबूत brand recognition।
Distribution Network
शहरों और towns में established distribution system।
Advertising Revenue
Newspaper circulation के साथ advertising revenue का बड़ा opportunity।
Physical Assets
Printing presses, land, buildings और अन्य infrastructure।
यानी company के पास एक established core business था।
4. फिर समस्या कहाँ शुरू हुई?
समस्या सिर्फ newspaper business में नहीं थी।

DCHL का एक सबसे चर्चित diversification था:
Deccan Chargers
Indian Premier League यानी IPL में Deccan Chargers franchise company के business ecosystem का महत्वपूर्ण हिस्सा बन गई।
लेकिन sports franchise business में:
player costs
franchise expenses
sponsorship
broadcasting economics
ticket revenue
working capital
जैसे कई financial risks होते हैं।
2012 तक Deccan Chargers से जुड़े financial problems भी सामने आने लगे।
Bombay High Court के बाद के judgment में दर्ज है कि अगस्त 2012 में कुछ players ने unpaid dues को लेकर BCCI से शिकायत की थी।
7. सबसे बड़ा Financial Problem — Debt
2012 तक DCHL की borrowing बहुत बढ़ चुकी थी।
अगस्त 2012 की contemporary reports में लगभग ₹3,270 करोड़ से अधिक की outstanding dues का उल्लेख था, जिनका संबंध करीब 28 banks और financial institutions से बताया गया था।
एक अन्य report में पिछले वर्षों में लगभग ₹1,584 करोड़ के short-term और long-term loans का उल्लेख था। इन loans के लिए company ने विभिन्न properties और assets को collateral के रूप में इस्तेमाल किया था।
यहाँ से एक महत्वपूर्ण सवाल पैदा होता है:
क्या company का debt उसके sustainable cash flow की तुलना में बहुत ज्यादा बढ़ चुका था?
8. Collateral का बढ़ता इस्तेमाल
DCHL ने loans के लिए कई assets को security के रूप में इस्तेमाल किया।
Reports में:
land
printing press equipment
buildings
receivables
other movable और immovable assets
जैसी securities का उल्लेख मिलता है।
MBA Concept: Collateral
Collateral lender के लिए security है।
लेकिन collateral देने से business की repayment capacity नहीं बढ़ती।
अगर business cash generate नहीं कर रहा है, तो केवल assets pledge करने से समस्या कुछ समय के लिए टल सकती है—खत्म नहीं होती।
9. Debt और Diversification का Dangerous Combination
इसे simple example से समझिए।
मान लीजिए:
एक company का core newspaper business stable है।
लेकिन company:
₹500 करोड़ → नया business
₹500 करोड़ → दूसरा business
₹1,000 करोड़ → तीसरा investment
के लिए debt लेती है।
अब नए businesses expected cash flow generate नहीं करते।
लेकिन:
Interest + Principal Repayment
जारी रहता है।
अब company को पुराने debt को चुकाने के लिए नए financing की जरूरत पड़ सकती है।
यही debt spiral का शुरुआती रूप है।
10. 2012 — Crisis खुलकर सामने आया
2012 में DCHL की financial problems public हो गईं।
Company के lenders में:
Canara Bank
ICICI Bank
Axis Bank
Yes Bank
Corporation Bank
Tata Capital
IDFC
अन्य financial institutions
शामिल थे।
एक समय lenders की संख्या दो दर्जन से अधिक बताई गई और outstanding exposure ₹3,000 करोड़ से ऊपर बताया गया।
11. Corporate Debt Restructuring की कोशिश
Company ने अपने loans को restructure कराने की कोशिश की।
2012 में DCHL ने Corporate Debt Restructuring (CDR) mechanism के माध्यम से debt restructuring का प्रयास किया।
CDR का basic उद्देश्य था:
Repayment period बढ़ाना + interest burden कम करना + company को breathing space देना
लेकिन lenders के बीच consensus नहीं बन पाया।
12. Banks को Doubts क्यों हुए?
यह इस case का महत्वपूर्ण हिस्सा है।
Contemporary reports के अनुसार lenders company की books और total debt position को लेकर clarity चाहते थे और forensic examination की बात सामने आई थी।
कुछ lenders restructuring के लिए तैयार नहीं थे।
एक बड़ी समस्या थी:
Actual financial position कितनी मजबूत थी और company की assets वास्तव में कितनी recoverable थीं?
13. Multiple Lenders = Multiple Problems
DCHL का debt structure काफी fragmented था।
कई lenders थे और अलग-अलग lenders के पास अलग-अलग securities थीं।
कुछ lenders:
pledged assets पर claim कर रहे थे,
कुछ receivables पर,
कुछ other collateral पर।
Deccan Chargers के receivables को लेकर भी lenders के बीच security claims का विवाद सामने आया। Bombay High Court record में Yes Bank और ICICI Bank के अलग-अलग security claims का उल्लेख है।

जब financing structure बहुत complex हो जाए, तो recovery भी complex हो सकती है।
14. Working Capital का Risk
DCHL के loans का एक हिस्सा working capital financing से भी जुड़ा था।
Working capital loan सामान्यतः:
Inventory + Receivables + Operating Cycle
को finance करने के लिए लिया जाता है।
लेकिन अगर working capital financing का इस्तेमाल long-term investments या unrelated businesses को support करने में होने लगे, तो financial mismatch पैदा हो सकता है।
Golden Rule
Short-term borrowing को long-term risk वाले investments के लिए लगातार इस्तेमाल करना dangerous है।
15. Profit और Cash Flow में अंतर
यह case MBA students को एक बहुत महत्वपूर्ण concept सिखाता है:
Accounting Profit ≠ Cash Flow
Company paper पर assets और business value दिखा सकती है।
लेकिन lenders को आखिरकार चाहिए:
Cash
जिससे:
Interest दिया जाए
Principal repay किया जाए
Employees को salary मिले
Suppliers को payment मिले
अगर cash flow कमजोर है तो केवल asset valuation company को बचा नहीं सकती।
16. Financial Statements और Governance
DCHL crisis में lenders द्वारा books और debt position को लेकर सवाल उठना corporate governance के perspective से महत्वपूर्ण है। Contemporary reporting में lenders द्वारा books की जांच और संभावित irregularities की concerns का उल्लेख किया गया था।
यहाँ एक सावधानी जरूरी है:
ऐसी contemporary reports में लगाए गए आरोपों को automatically proven fraud नहीं माना जाना चाहिए।
MBA analysis में allegations, regulatory findings और judicially established facts को अलग-अलग रखना चाहिए।
17. Crisis का अगला चरण — Insolvency
आखिरकार DCHL का मामला Insolvency and Bankruptcy Code के तहत National Company Law Tribunal यानी NCLT तक पहुंचा।
Canara Bank ने DCHL के खिलाफ insolvency proceedings शुरू करने के लिए application दाखिल की।
NCLT ने 5 July 2017 को CIRP admit किया।
इसके साथ company पर IBC का moratorium लागू हुआ और Corporate Insolvency Resolution Process शुरू हुई।
18. CIRP क्या है?
CIRP यानी:
Corporate Insolvency Resolution Process
इसका उद्देश्य सिर्फ company को बंद करना नहीं है।
इसका उद्देश्य है:
एक viable business को बेहतर ownership/financial structure के साथ बचाने की कोशिश करना।
इसलिए insolvency का अर्थ हमेशा “company खत्म” नहीं होता।
कई बार:
Old Management → बाहर
और
New Resolution Applicant → अंदर
आ सकता है।
19. DCHL के मामले में Claims कितने थे?
IBBI के उपलब्ध data के अनुसार DCHL के मामले में:
Total Admitted Claims
लगभग ₹8,349.05 करोड़
Financial Creditors
लगभग ₹8,180.65 करोड़
Operational Creditors
लगभग ₹168.40 करोड़
बताए गए हैं।
यह आंकड़ा दिखाता है कि 2012 में सामने आए debt crisis के बाद insolvency process तक financial exposure कितना बड़ा हो चुका था।
20. Resolution Applicant कौन बना?
DCHL के लिए कई संभावित bidders सामने आए।
आखिरकार:
SREI Multiple Asset Investment Trust – Vision India Fund
का resolution plan Committee of Creditors द्वारा approve किया गया।
CoC approval लगभग 81.39% voting share के साथ हुआ।
21. NCLT ने Resolution Plan Approve किया
3 June 2019 को Hyderabad NCLT ने SREI का resolution plan approve किया।
Plan में लगभग ₹408 करोड़ का consideration था, जबकि financial creditors के admitted claims लगभग ₹8,180 करोड़ थे।
समकालीन reports के अनुसार plan में cash के अलावा कुछ high-value assets और Deccan Chargers से संबंधित interest भी शामिल था।
IBBI records भी 3 June 2019 को resolution approval की पुष्टि करते हैं।
22. 95% Haircut का मतलब क्या था?
Contemporary reporting में creditors के लिए लगभग 95.2% haircut का उल्लेख किया गया था।
सरल भाषा में:
अगर creditor का claim बहुत बड़ा है लेकिन resolution plan के तहत recovery बहुत छोटी है, तो remaining amount effectively recover नहीं हो पाता।
Example
Claim = ₹100
Recovery = ₹5
तो approximately:
Haircut = ₹95
यह creditors के लिए बहुत बड़ी financial loss situation है।
23. लेकिन कहानी यहीं खत्म नहीं हुई
यह समझना बहुत जरूरी है कि:
NCLT approval = तुरंत पूरी तरह smooth implementation
नहीं होता।
Resolution plan के implementation और उससे जुड़े legal disputes आगे भी चलते रहे।
2021 में NCLT ने approved plan के implementation में हुई देरी पर चिंता जताई और CoC को आगे की course of action पर विचार करने को कहा।
इसके बाद भी DCHL से जुड़े कई legal proceedings जारी रहे।
IBBI के current corporate-process record में DCHL से संबंधित proceedings 2024 और 2026 तक दिखाई देती हैं।
24. Supreme Court का महत्वपूर्ण फैसला
DCHL resolution process से जुड़े legal disputes Supreme Court तक भी पहुंचे।
Supreme Court-related records में DCHL को newspaper business करने वाली company के रूप में वर्णित किया गया और SREI resolution plan की approval history दर्ज है।
यह case IBC के एक महत्वपूर्ण principle को भी दिखाता है:
Resolution plan approve होने के बाद भी उसके implementation और legal consequences से जुड़े disputes सामने आ सकते हैं।
25. Deccan Chronicle Case का Real Failure क्या था?
इस सवाल का जवाब केवल:
“Debt बहुत ज्यादा था।”
नहीं है।

जब नए businesses expected returns नहीं देते, debt repayment का pressure बढ़ता है।

DCHL के मामले में NCLT ने 2017 में CIRP शुरू किया और 2019 में SREI का resolution plan approve किया। उपलब्ध IBBI data के अनुसार admitted claims लगभग ₹8,349 करोड़ थे, जबकि resolution process में creditors के लिए recovery बहुत कम रही।
इसलिए इस case का सबसे बड़ा lesson है:
Business को सिर्फ Revenue और Brand से नहीं, बल्कि Cash Flow, Debt Capacity, Risk और Governance से भी measure करना चाहिए।
यही sustainable management और aggressive management के बीच सबसे बड़ा अंतर है।

Case 9: Subrata Roy और Sahara Group — एक विशाल Business Empire Regulatory Crisis में कैसे फँसा?
Introduction
भारत में Subrata Roy और Sahara Group की कहानी एक समय extraordinary business success की कहानी थी।
छोटे स्तर से शुरू होकर Sahara एक विशाल business group बना, जिसकी मौजूदगी finance, real estate, hospitality, media, entertainment और अन्य क्षेत्रों में दिखाई देती थी।
Subrata Roy ने Sahara को केवल एक company नहीं बल्कि एक विशाल business ecosystem के रूप में विकसित किया।
लेकिन 2010 के बाद Sahara Group का नाम एक बड़े regulatory और legal विवाद से जुड़ गया।
इस विवाद का केंद्र था Sahara की दो companies:
Sahara India Real Estate Corporation Ltd. (SIRECL)
Sahara Housing Investment Corporation Ltd. (SHICL)
इन companies ने Optionally Fully Convertible Debentures (OFCDs) के माध्यम से बड़ी संख्या में investors से पैसा जुटाया।
SEBI ने 2011 में इन fund-raising activities पर कार्रवाई की और refund का निर्देश दिया। बाद में मामला Supreme Court तक पहुँचा। 31 August 2012 को Supreme Court ने SEBI और Securities Appellate Tribunal के orders को broadly कायम रखते हुए Sahara companies को investors से collected amount, interest सहित, SEBI के पास जमा करने का निर्देश दिया।
यहीं से एक विशाल business empire के सामने सबसे बड़ी चुनौती शुरू हुई:
जब business बहुत बड़ा हो जाए, तो regulatory compliance, transparency और governance उतने ही महत्वपूर्ण हो जाते हैं जितना growth।
1. Subrata Roy कौन थे?
Subrata Roy Sahara भारतीय business world के सबसे प्रसिद्ध entrepreneurs में से एक थे।
उन्होंने Sahara Group को एक बड़े diversified business group में बदल दिया।
Sahara की पहचान केवल एक business से नहीं बनी।
Group की activities अलग-अलग sectors में फैली हुई थीं।
इसमें समय के साथ:
Financial services
Real estate
Hospitality
Media
Entertainment
Infrastructure
Consumer businesses
जैसे क्षेत्रों में interests विकसित हुए।
यही diversification Sahara की strength भी थी और बाद में management complexity का कारण भी बनी।
2. Sahara की Growth Story
Sahara की सबसे बड़ी ताकत थी:
Mass Reach
Group ने छोटे शहरों और कस्बों तक अपनी presence बनाने पर जोर दिया।
Sahara का business model traditional corporate model से काफी अलग दिखाई देता था।
उसकी reach केवल बड़े metropolitan cities तक सीमित नहीं थी।
इससे Sahara ने लाखों customers/investors तक पहुँच बनाई।
MBA perspective से देखें तो यह एक बहुत महत्वपूर्ण lesson है:
जिस company के पास strong distribution network होता है, वह relatively कम समय में बहुत बड़े customer base तक पहुँच सकती है।
3. Sahara ने इतना बड़ा Network कैसे बनाया?
Sahara की growth में तीन चीजें महत्वपूर्ण थीं:
1. Mass-market approach
कंपनी ने छोटे investors और आम लोगों तक पहुँच बनाने की कोशिश की।
2. Large field network
Sahara के पास ground-level collection और distribution का विशाल network था।
3. Brand Trust
एक समय Sahara का नाम देशभर में जाना जाता था।
Sports और entertainment sponsorships ने भी brand visibility बढ़ाई।
इससे Sahara की public image एक बड़े और powerful Indian business group की बनी।
4. Diversification: Sahara की ताकत
Sahara ने केवल financial activities पर निर्भर नहीं किया।
Group ने अलग-अलग sectors में expansion किया।
यह strategy theoretically अच्छी हो सकती है।
अगर एक sector खराब हो:
→ दूसरा sector revenue दे सकता है।
लेकिन diversification का दूसरा पक्ष भी है:
जितने ज्यादा businesses, उतनी ज्यादा complexity।
हर business के लिए अलग:
Regulation
Accounting
Management
Capital requirement
Risk profile
Compliance system
चाहिए।
5. असली विवाद कहाँ से शुरू हुआ?
Sahara की सबसे बड़ी regulatory समस्या OFCDs से जुड़ी थी।
OFCD का पूरा नाम था:
Optionally Fully Convertible Debentures
इन्हें सरल भाषा में समझें:
यह एक प्रकार का financial instrument था जिसमें investor पैसा लगाता है और कुछ conditions के तहत यह security future में shares में convert हो सकती थी।
Sahara की दो companies ने ऐसे instruments के माध्यम से बड़ी राशि जुटाई।
SEBI ने इस fund-raising पर सवाल उठाए।
6. SEBI ने क्या कहा?
SEBI ने 23 June 2011 के order में SIRECL और SHICL तथा उनके promoters/directors को OFCDs के माध्यम से जुटाई गई रकम investors को refund करने का निर्देश दिया।
SEBI order में दोनों companies को securities market से funds raise करने से भी तब तक restrain किया गया जब तक refund की conditions पूरी न हों।
यहाँ एक महत्वपूर्ण point है:
Issue केवल यह नहीं था कि investors से पैसा लिया गया।
मुख्य regulatory question यह था कि:
क्या इस तरह बड़े पैमाने पर public से पैसा जुटाना securities laws और SEBI regulatory framework के अधीन था?
यही विवाद आगे Supreme Court तक पहुँचा।
7. Sahara का अपना Stand क्या था?
Sahara ने regulatory findings को चुनौती दी।
उनकी ओर से यह contention रहा कि OFCDs private placement के माध्यम से जारी किए गए थे और ये securities laws के तहत public issue के समान नहीं थे।
इसलिए यह मामला केवल “पैसा लिया और वापस नहीं किया” जैसी simple कहानी नहीं थी।
यह एक complicated legal question बन गया:
क्या यह private placement था या ऐसा public fund-raising जिसे securities regulation के तहत आना चाहिए था?
Supreme Court ने अंततः Sahara companies के खिलाफ SEBI/SAT की regulatory position को broadly uphold किया।
8. 2012 Supreme Court Judgment
31 August 2012 को Supreme Court ने Sahara India Real Estate Corporation और Sahara Housing Investment Corporation से जुड़े मामले में महत्वपूर्ण judgment दिया।
Court ने SEBI और Securities Appellate Tribunal के orders को broadly कायम रखा और Sahara companies को collected money को 15% interest सहित SEBI के पास जमा करने का निर्देश दिया।
यह Sahara Group के लिए turning point था।
अब मामला केवल regulatory disagreement नहीं रहा।
अब company को:
Large-scale Refund Obligation
का सामना करना था।

22. Sahara-SEBI Refund Account
Supreme Court के निर्देशों के बाद Sahara से जुड़ी refund process में Sahara-SEBI Refund Account बनाया गया।
2023 में Supreme Court ने इस account में पड़े ₹24,979.67 करोड़ में से ₹5,000 करोड़ Central Registrar of Cooperative Societies को transfer करने का आदेश दिया ताकि genuine depositors of four Sahara cooperative societies को refund दिया जा सके।
यहाँ एक बहुत महत्वपूर्ण distinction है:
OFCD dispute
और
Four Sahara Cooperative Societies refund process
एक ही legal matter नहीं हैं।
इसलिए blog में दोनों को mix करना सही नहीं है।
23. CRCS-Sahara Refund Portal क्या है?
भारत सरकार के Ministry of Cooperation ने genuine depositors के claims के लिए CRCS-Sahara Refund Portal शुरू किया।
यह चार Multi-State Cooperative Societies से जुड़े legitimate deposit claims के लिए है:
Sahara Credit Cooperative Society Ltd.
Saharayn Universal Multipurpose Society Ltd.
Humara India Credit Cooperative Society Ltd.
Stars Multipurpose Cooperative Society Ltd.
Government के अनुसार portal 18 July 2023 को launch किया गया था और claims की प्रक्रिया digital और paperless है।
यह point इसलिए महत्वपूर्ण है क्योंकि आज भी “Sahara refund” शब्द केवल historical issue नहीं है।
Refund process अभी भी relevant है।
24. 2026 में Sahara Refund की स्थिति
2026 तक Sahara cooperative-society depositors के refund के लिए government mechanism active है।
Ministry of Cooperation की information के अनुसार genuine depositors online claims submit कर सकते हैं और deficiencies होने पर resubmission process भी उपलब्ध है।
इसलिए Sahara case को केवल:
“2012 में Supreme Court judgment हुआ और मामला खत्म हो गया”
कहना गलत होगा।
इसके financial और refund-related consequences कई वर्षों तक चलते रहे।

भारत के financial-market history में Jignesh Shah और National Spot Exchange Limited (NSEL) का case एक बहुत महत्वपूर्ण management case study है।
Jignesh Shah ने technology और financial markets को जोड़कर एक बड़ा business ecosystem बनाने की कोशिश की। उनकी company Financial Technologies (India) Ltd. (FTIL) ने electronic exchanges और financial-market infrastructure में महत्वपूर्ण भूमिका बनाई।
लेकिन 2013 में National Spot Exchange Limited (NSEL) पर trading और settlement का संकट सामने आया।
31 July 2013 को NSEL ने exchange operations suspend कर दिए। इसके बाद लगभग ₹5,600 करोड़ का payment crisis सामने आया, जिसमें लगभग 13,000 trading clients प्रभावित हुए। Bombay High Court के judgment में इस संकट का विस्तृत विवरण दिया गया है।
Government के Department of Financial Services की 2013-14 Annual Report के अनुसार NSEL पर investors के लगभग ₹5,570 करोड़ बकाया थे और 24 borrowers की सूची दी गई थी। Income Tax Department की जांच में कुछ warehouses में घोषित stock उपलब्ध नहीं होने की बात सामने आई।

National Spot Exchange Limited (NSEL) एक electronic spot commodity exchange/platform था।
इसका उद्देश्य commodities की spot trading को एक organized electronic platform पर लाना था।
Concept सरल था:

एक electronic marketplace पर आते हैं।
Commodity transaction होती है।
फिर:
Settlement
और ideally:
Physical Delivery
होनी चाहिए।
यानी exchange केवल numbers का खेल नहीं था।
इसके पीछे वास्तविक commodity और warehouse infrastructure भी महत्वपूर्ण था।
4. Spot Market का मतलब क्या है?
Spot market को आसान भाषा में समझें।
अगर:
आज commodity खरीदी

निकट समय में उसकी delivery/payment हुई
तो यह spot transaction के करीब है।

तो transaction के पीछे वास्तविक commodity का होना जरूरी है।

5. NSEL का Business Model
NSEL पर कई commodity transactions electronic platform के माध्यम से किए जाते थे।
एक सामान्य transaction में:

6. Paired Contracts क्या थे?
NSEL crisis समझने के लिए paired contracts को समझना जरूरी है।
इसे बहुत आसान example से समझते हैं।
मान लीजिए:
आज एक buyer:
₹100 में commodity खरीदता है।
साथ ही उसी दिन:
₹105 में वही commodity future date पर बेचने का agreement करता है।
इससे buyer को लगभग:
₹5 का assured-looking return
दिखाई देता है।
अगर transaction के पीछे वास्तविक commodity हो और market risk मौजूद हो तो यह एक सामान्य commercial structure के कुछ रूपों से अलग नहीं है।
लेकिन अगर:
Commodity वास्तविक रूप से मौजूद नहीं है
और transaction केवल financing/return generating mechanism की तरह इस्तेमाल हो रहा है,
तो risk बहुत बढ़ जाता है।
Bombay High Court के judgment में NSEL crisis के संदर्भ में ऐसे paired contracts का उल्लेख किया गया है।
7. असली समस्या कहाँ थी?
NSEL transactions में कई trading clients को ऐसा return मिलता दिखाई देता था जो सामान्य commodity trading से ज्यादा financing arrangement जैसा प्रतीत हो सकता था।
यहाँ एक महत्वपूर्ण distinction है:
Commodity Trading
और
Investment-like Fixed Return
एक ही चीज नहीं हैं।
अगर कोई व्यक्ति commodity market में केवल इस उम्मीद से पैसा लगाता है कि उसे लगभग निश्चित return मिलेगा, तो उसे market risk और underlying asset की वास्तविक स्थिति को समझना चाहिए।
8. Risk Management का दावा
NSEL की ओर से risk-management mechanisms और settlement arrangements होने की बात कही जाती थी।
लेकिन 2013 में जब crisis आया, तो settlement guarantee और available stock को लेकर गंभीर सवाल उठे।
Bombay High Court के judgment में दर्ज है कि 1 August 2013 को settlement guarantee fund के बारे में अलग-अलग figures सामने आए; बाद में उपलब्ध राशि केवल लगभग ₹62 करोड़ बताई गई।
यह एक बहुत बड़ा warning sign था।
क्योंकि:
₹5,600 करोड़ exposure
के सामने:
₹62 करोड़
का available fund बहुत छोटा था।
9. Crisis कैसे शुरू हुआ?
July 2013 में NSEL ने trading operations को रोकने का निर्णय लिया।
31 July 2013 को exchange operations suspend कर दिए गए।
इसके बाद outstanding payments की समस्या सामने आई।
Bombay High Court के अनुसार लगभग:
13,000 trading clients
के claims लगभग:
₹5,600 करोड़
थे।
यही घटना आगे चलकर:
NSEL Payment Crisis
के नाम से जानी गई।
10. ₹5,600 करोड़ का मतलब क्या है?
यह समझना जरूरी है कि:
₹5,600 करोड़ कोई एक व्यक्ति की जेब से निकली राशि नहीं थी।
यह outstanding obligations का aggregate amount था।
लगभग:
24 commodity sellers/borrowers
से जुड़े defaults के कारण हजारों trading clients के payments अटक गए।
Government की Annual Report ने भी लगभग ₹5,570 करोड़ की dues और 24 borrowers की सूची का उल्लेख किया था।
11. Warehouse Stock का सवाल
यह पूरे crisis का सबसे गंभीर हिस्सा था।
अगर exchange पर commodity transaction हुआ है, तो ideally:

लेकिन investigation में declared stock और actual available stock के बीच बड़ा difference सामने आया।
Bombay High Court के judgment में SGS India की inspection के संदर्भ में बताया गया कि NSEL द्वारा बताए गए stock value और actual available stock में बहुत बड़ा अंतर था। Judgment में लगभग ₹2,389.36 करोड़ के stated stock के मुकाबले केवल लगभग ₹358 करोड़ का stock available होने का उल्लेख है।
इसका मतलब:
Paper Value ≠ Physical Commodity
का risk सामने आया।
12. Government Investigation में क्या सामने आया?
Department of Financial Services की Annual Report के अनुसार Income Tax Department ने 24 borrowers पर surveys किए।
जांच में कुछ cases में:
Warehouses empty पाए गए
Declared stock उपलब्ध नहीं था
NSEL से प्राप्त funds का इस्तेमाल अन्य purposes के लिए किए जाने के संकेत मिले
Annual Report में property investments और loan repayment जैसे uses का भी उल्लेख है।
यह investigation का महत्वपूर्ण हिस्सा था।
लेकिन ध्यान रहे:
किसी investigation में किसी irregularity का सामने आना और किसी व्यक्ति का criminally guilty साबित होना एक ही बात नहीं है।
13. Jignesh Shah की भूमिका
यह case का सबसे sensitive हिस्सा है।

नहीं।

₹5,600 करोड़
का अर्थ था:
NSEL पर outstanding payment obligations/default exposure।
यह कहना कि:
“Jignesh Shah ने ₹5,600 करोड़ अपने पास रख लिए”
एक unsupported और misleading statement होगा।
Bombay High Court के record में भी यह distinction दिखाई देता है कि पैसा borrowers/defaulters तक गया था और crisis का structure उससे जुड़ा था।
इसलिए article में:

15. Investors को क्या हुआ?
जब exchange ने operations suspend किए, तो हजारों trading clients को:
Payment नहीं मिला
Expected settlement नहीं मिला
Commodity delivery भी नहीं मिली
Bombay High Court ने लगभग 13,000 affected trading clients और ₹5,600 करोड़ से अधिक claims का उल्लेख किया।

16. NSEL का Settlement Guarantee Fund
